Quy trình thành lập công ty liên doanh
Công ty liên doanh là hình thức công ty được tạo dựng từ sự hợp tác của nhà đầu tư trong nước và nhà đầu tư nước ngoài bằng hợp đồng liên doanh. Để thành lập công ty liên doanh nhà đầu tư cần thực hiện các bước sau:
I. Chuẩn bị tài liệu
Thành lập công ty liên doanh là thủ tục xin cấp Giấy chứng nhận đầu tư đồng thời với việc lập công ty. Giấy chứng nhận đầu tư đồng thời là Giấy chứng nhận đăng ký kinh doanh. Để thành lập công ty liên doanh nhà đầu tư cần chuẩn bị các tài liệu sau:
1. Trường hợp nhà đầu tư là cá nhân:
- Bản sao công chứng CMTND/hộ chiếu còn hiệu lực;
- Xác nhận số dư tài khoản tương ứng với số vốn đăng ký đầu tư;
2. Trường hợp nhà đầu tư là pháp nhân:
- Giấy chứng nhận đăng ký kinh doanh Công ty;
- Giấy chứng nhận mã số thuế Công ty;
- Điều lệ Công ty;
- Báo cáo tài chính Công ty trong 02 năm gần nhất (Nếu có);
- Quyết định của Công ty về việc đầu tư tại Việt Nam;
- Thư chỉ định người đại diện Công ty tại Việt Nam;
- Bản sao hộ chiếu người đại diện Công ty;
- Bản sao hộ chiếu người đại diện phần vốn góp của Công ty;
- Xác nhận số dư tài khoản công ty tương ứng với số vốn đăng ký đầu tư;
Lưu ý: Giấy tờ nước ngoài phải được hợp pháp hóa lãnh sự không quá 03 tháng trước thời điểm nộp hồ sơ và công chứng dịch sang tiếng Việt Nam
3. Giấy tờ liên quan khác
- Hợp đồng liên doanh;
- Thỏa thuận nguyên tắc về việc thuê nhà, đất làm địa điểm triển khai dự án;
- Bản sao sổ đỏ Giấy chứng nhận quyền sử dụng đất của địa điểm triển khai dự án;
- Và các biểu mẫu hồ sơ quy định trong quyết định 1088/2006/QĐ-BKH.
II. Các bước xin cấp Giấy chứng nhận đầu tư công ty
1. Nhà đầu tư nộp hồ sơ tại Bộ phận một cửa (BPMC)sở kế hoạch và đầu tư/ Ban quản lý khu công nghiệp tỉnh/thành phố trực thuộc trung ương (SKH&ĐT/BQLKCN).
Một số cơ quan chưa có BPMC nhà đầu tư thực hiện nộp hồ sơ tại phòng văn thư hoặc phòng ban khác theo quy định cụ thể của từng địa phương;
2. Sở KH&ĐT/BQLKCN: thụ lý hồ sơ, ra Thông báo yêu cầu sửa đổi, bổ sung hồ sơ hoặc trình UBND Thành phố/Giám đốc BQLKCN phê duyệt;
3. Nhà đầu tư nhận kết quả giải quyết hồ sơ tại BPMC. Nếu hồ sơ không hợp lệ: kết quả là Thông báo yêu cầu sửa đổi, bổ sung hồ sơ. Sau khi sửa đổi hồ sơ, nhà đầu tư nộp lại hồ sơ tại BPMC và thực hiện theo trình tự như lần nộp đầu tiên;
III. Xin cấp Giấy chứng nhận mã số thuế và dấu công ty
Sau khi Giấy chứng nhận đầu tư được cấp, nhà đầu tư liên hệ
- Cục thuế tỉnh/ thành phố trực thuộc trung ương để xin cấp Giấy chứng nhận mã số thuế công ty.
- Công an tỉnh/ thành phố trực thuộc trung ương để xin cấp Dấu và Giấy chứng nhận mẫu dấu công ty.

- principle agreement on rent, land for the project location;
- A copy of the red book certificates of land use rights of the project location;
- forms and documents specified in the decision 1088/2006/QD-BKH.
Ii. steps for granting investment certificates
1 company.Investors filed at OSS (OSS) facilities planning and investment / industrial management / province or centrally run city (SKH & Tel / bqlkcn).
some agencies do not have Investors OSS implementation in the filing room clerical or other departments specified in each locality;
2. DOST Tel & / bqlkcn: received profile,the amended notification requirements, additional records or submit ppc city / bqlkcn director approval;
3. Investors receive settlement results in the OSS records. if the application is not valid: the result is the revised notification requirements, additional records. modify records after investors filed at OSS records and comply with the order as the first payment period;
iii.application for a certificate of tax codes and sign
company after the investment certificate is issued, investors contact
- Provincial tax department / central cities to apply for certification of the tax code company.
- Provincial police / central cities to apply for the seal and seal specimen certificate company.

-And the profile form is specified in decisions 1088/2006/QD-BKH.
II. The steps for certification portfolio
1. Investors in filing an (BPMC) planning and investment/management of an industrial city centrally (SKH & TEL/BQLKCN).
some agencies have not had the BPMC investors made the filing in a clerical or other departments according to the specific provisions of each locality;
2. Department of KH & TEL/BQLKCN: accepting the records, the notice requires amendments, additions or the city PEOPLE'S COMMITTEE/Director BQLKCN;
3. Investors got results treating documents in BPMC. If the profile is not valid: the result is a message asking to modify, complement the profiles. After the last record, for investors to resubmit documents in BPMC, and follow the sequence as filed;
III. Please review the tax code and company stamp
after the investment certificate is granted, the investor contact
-tax province/city directly to ask for tax certification companies.
-police/city centrally applied to Seal and certificate of corporate seal.
