HĐQT thường có từ 3 đến 11 thành viên. Nếu điều lệ công ty không quy định 1 số lượng thành viên cố định thì ĐHĐCĐ sẽ quyết định số lượng thành viên được bầu vào HĐQT. HĐQT có nhiệm kỳ không quá 5 năm.
