To order Bill of Lading là Vận đơn theo lệnh hay còn gọi là Vận đơn ký hậu.



1. Định nghĩa về vận đơn theo lệnh "To order B/L":

Là vận đơn mà hàng hoá ghi trong vận đơn đó sẽ được giao theo lệnh của một người nào đó bằng cách ký hậu lên mặt sau của vận đơn.



2. Ký hậu trong vận đơn theo lệnh:



- Ký hậu đích danh: Người ký hậu sẽ ký và đóng dấu vào mặt sau của vận đơn trong đó ghi đích danh tên của người được hưởng lợi và có thể ghi chú " Delivery to... - Giao hàng cho..." . Như vậy sau khi ký hậu thì vận đơn này trở thành vận đơn đích danh và là người hưởng lợi cuối cùng.



- Ký hậu theo lệnh: Với kiểu ký hậu này "To order of .... - Giao hàng theo lệnh của " thì người được hưởng lợi lại tiếp tục được phép chuyển nhượng vận đơn cho người tiếp theo bẳng cách ký hậu thêm một lần nữa ở phía mặt sau của vận đơn. Trong trường hợp không chuyển nhượng tiếp thì người được hưởng lợi sẽ cầm vận đơn đi lấy hàng như là người hưởng lợi cuối cùng.



- Ký hậu cho chính người ký hậu: Trong trường hợp người ký hậu vận đơn lại chính là người hưởng lợi cuối cùng hay nói cách khác là người đi nhận lô hàng đó thì chỉ cần ký và đóng đấu là có thể cầm vận đơn đi lấy hàng, nếu cẩn thận hơn ta có thể ghi thêm câu " Delivery to myself - Giao hàng cho chính tôi "



- Ký hậu miễn truy đòi: Thông thường thì người ký hậu vẫn phải chịu trách nhiệm liên đới cho việc giao hàng đến người hưởng thụ cuối cùng trong trường hợp người hưởng thụ cầm vận đơn ký hâu mà không nhận được hàng. Tuy nhiên để tránh ràng buộc trách nhiệm với người hưởng thụ ngày, người ký hậu có thể thêm câu " Without recourse endorsement - Miễn truy đòi" bên cạnh chữ ký của mình.
