23.4. Bổi thường Hợp đồng
Bồi thường Hợp đồng được thực hiện trong trường hợp chấm dứt Hợp đồng:
23.4.1. Do lỗi, vi phạm hợp đồng của [Bbb] hoặc trong các trường hợp đặc biệt vì lợi ích Quốc gia hoặc do thay đổi kế hoạch phát triển kinh tế - xã hội hoặc do các quyết định khác của Chính phủ:
a. [Bbb] có trách nhiệm bồi hoàn toàn bộ chi phí mà Nhà đầu tư đã thực hiện Dự án cho đến thời điểm chấm dứt Hợp đồng BOT trên cơ sở kết quả của tổ chức kiểm toán độc lập xác định và [Bbb] xem xét, chấp thuận, bao gồm nhưng không giới hạn các chi phí cụ thể như sau:
(i) Lãi huy động vốn của Nhà đầu tư theo quy định tại Hợp đồng BOT này.
(ii) Các chi phí được sử dụng từ nguồn góp vốn chủ sở hữu và vốn vay chi phí chuẩn bị đầu tư của Nhà đầu tư theo phương án tài chính.
b. Trong thời hạn 02 (hai) năm kể từ ngày có thông báo chấm dứt Hợp đồng BOT của [Bbb] hoặc quyết định chấm dứt hợp đồng của Nhà đầu tư hoặc Doanh nghiệp dự án, [Bbb] có nghĩa vụ thanh toán toàn bộ chi phí quy định tại Điểm a Khoản 23.4.1 của Hợp đồng BOT này cho Nhà đầu tư.
c. Các nhà thầu đang thực hiện Dự án được ưu tiên tiếp tục tham gia Dự án trên cơ sở hợp đồng ký với đơn vị mới tiếp nhận Dự án (nếu có) hoặc theo thỏa thuận của Các Bên tại thời điểm phát sinh vấn đề này.

23.4. Indemnification contracts
