Để kí kết một hợp đồng, yếu tố quan trọng mà chúng ta cần phải lưu ý là năng lực. Các bên kí kết hợp đồng cần có đủ các yếu tố bắt buộc đó là biết và hiểu rõ những gì họ kí kết và họ bắt buộc phải thực hiện.
Yếu tố này cũng được chia thành hai loại:
- Về người: những người chưa đủ 18 tuổi chỉ được kí các hợp đồng phục vụ cho lợi ích cá nhân của họ
- Các công ty: doanh nghiệp chỉ kí kết những hợp đồng mà họ đảm bảo có thể thực hiện, phù hợp với năng lực của doanh nghiệp.
