- Bất kỳ sự kiện Bất Khả Kháng nào

- Bất kỳ sự kiện Bất Khả Kháng nào làm cho một trong hai bên không thực hiện đúng những nghĩa vụ của mình theo các điều khoản trong Hợp Đồng này.
[Để làm rõ điều này, “Bất Khả Kháng” có nghĩa là bất cứ biến cố hay hoàn cảnh nào (bao gồm mà không giới hạn bởi thiên tai, đình công, đóng cửa nhà máy hoặc một hình thức bãi công nào khác) mà dẫn đến tình trạng một bên (“Bên Bị Ảnh Hưởng”) mất khả năng thi hành hay phải trì hoãn việc thi hành các nghĩa vụ của mình theo Hợp Đồng này và vượt quá tầm kiểm soát hợp lý của Bên Bị Ảnh Hưởng và tuân thủ theo các quy định tương ứng về Bất Khả Kháng và trở ngại khách quan tại Điều 161 Bộ luật dân sự 2005 nước Cộng Hòa Xã Hội Chủ Nghĩa Việt Nam].
- Do Bên B vỡ nợ, bao gồm việc không thanh toán nợ theo quy định trong Hợp Đồng, do việc đệ đơn lên Tòa Án về việc phá sản của Bên B.
