Hai bên thống nhất, hằng quý (3 tháng) bên A chia lợi nhuận và chi phí quản lý chung là 2.700.000.000 đ (Hai tỷ bảy trăm triệu đồng - chưa bao gồm thuế VAT) dù kinh doanh lỗ hay lãi.

Bên B đồng ý để bên A lấy khoản tiền phân chia lợi nhuận và quản lý chung mà bên B nhận được từ bên A theo hợp đồng này để trừ các khoản thiệt hại hoặc nợ tồn đọng giữa các bên (có biên bản, chứng từ kèm theo), ngay lập tức (nếu có) mà không cần phải được sự chấp thuận trước của bên B.
