Trong mô hình quản trị ngân hàng thì hệ thống kiểm soát nội bộ (KSNB) luôn là một yếu tố mang tính sống còn. Đây là hệ thống các cơ chế, chính sách, quy trình, quy định nội bộ, cơ cấu tổ chức, được thiết lập để phòng ngừa, phát hiện, xử lý kịp thời rủi ro nhằm đạt được mục tiêu hoạt động của ngân hàng. Đồng thời, đảm bảo mọi cán bộ nhân viên đều phải tuân thủ các chính sách và quy định nội bộ. Như vậy, hệ thống KSNB điều chỉnh hành vi của các thành phần nghiệp vụ, không chỉ giới hạn trong kiểm soát chức năng kinh doanh, kiểm soát tài chính mà còn điều chỉnh toàn bộ các chức năng như: quản trị điều hành, bộ máy tổ chức, nhân sự,...

Đối với các ngân hàng thương mại Việt Nam (NHTM), đặc biệt là một số ngân hàng vẫn đang trong quá trình mở rộng quy mô hoạt động, thì hệ thống KSNB càng trở nên quan trọng. Bởi khi tầm vóc ngân hàng được nâng lên, thì quyền hạn và trách nhiệm càng phải phân chia cho nhiều cấp, nhiều bộ phận, nên mối quan hệ giữa các bộ phận chức năng và nhân viên càng trở nên phức tạp, quá trình trao đổi thông tin càng chậm, tài sản khó quản lý do phân tán ở nhiều nơi trong nhiều hoạt động khác nhau, do đó phải có hệ thống KSNB hữu hiệu nhằm duy trì sự hoạt động an toàn, bền vững của ngân hàng.
