ĐIỀU 1: BỔ NHIỆM
Nhà cung cấp bổ nhiệm nhà phân phối làm nhà phân phối độc quyền của mình để phân phối và bán các sản phẩm (định nghĩa tại Điều 3) trong khu vực: Việt Nam và nhà phân phối chấp nhận sự bổ nhiệm này cùng với những điều kiện và điều khoản được lập ra trong hợp đồng này.
ĐIỀU 2: THỜI HẠN PHÂN PHỐI
Hợp đồng phân phối độc quyền sẽ có hiệu lực vào ngày……………………….. và kết thúc đến…………………………. Các bên có thể quyết định ký mới hợp đồng này khi hết hạn bằng văn bản có sự đồng ý của hai bên. Hợp đồng có thể chấm dứt sớm hơn thời hạn như Điều 17.

ĐIỀU 3: BỔN PHẬN VÀ TRÁCH NHIỆM CỦA NHÀ CUNG CẤP
Nhà cung cấp thực hiện bổn phận và trách nhiệm sau:
1- Chuẩn bị các sản phẩm nhãn hiệu Prolite (được gọi chung là sản phẩm) được sản xuất bởi nhà cung cấp.
2- Nhà cung cấp hướng dẫn và hỗ trợ nhà phân phối các chương trình bán hàng, quảng cáo, khuyến mại theo từng giai đoạn phát triển của thị trường (do công ty quy định).
3- Cung cấp sản phẩm theo đúng chất lượng và nhãn hiệu hàng hóa đã đăng ký.
4- Nhà cung cấp hỗ trợ hàng mẫu túi Prolite cho đơn hàng đầu tiên.
5- Thanh toán các khoản hoa hồng cho nhà phân phối đúng hạn.
ĐIỀU 4: BỔN PHẬN VÀ TRÁCH NHIỆM CỦA NHÀ PHÂN PHỐI
Nhà phân phối thực hiện bổn phận và trách nhiệm như sau:
1- Nhà phân phối nỗ lực để đạt doanh số mục tiêu.
2- Phân phối các sản phẩm của nhà cung cấp và thực hiện đúng các chương trình khuyến mãi mà công ty trao.
3- Nhà phân phối không được bán bất cứ mặt hàng nào cạnh tranh trực tiếp hay gián tiếp với các sản phẩm, trừ phi nhà cung cấp đồng ý bằng văn bản.
4- Luôn đảm bảo số lượng hàng tồn kho tối thiểu và đảm bảo tiến độ giao hàng cho khách hàng.

Kết quả (Anh) 1:

Article 1:

Article 2: delivery period
exclusive distribution agreement will take effect on ............................. and end to ............................... the parties can decide when to sign this new contract expires written consent of both parties. contract may be terminated earlier period as Article 17.

Article 3 duty and responsibility of the supplier
supplier performance following duties and responsibilities:
1 - prepare PROLITE brand products (collectively referred to as the product) is produced by the vendor.
2 - Provider guidance and support distributor sales programs, advertising, promotion phased development of the market (due to company regulations).
3 - provide quality products in accordance with trademark and registered.
4 - vendor support PROLITE sample bag for your first purchase.
5 - commissions paid to distributors schedule.
Article 4: duty and responsibility of the distributor
distributors perform duties and responsibilities as follows:
1 - distributors efforts to achieve sales targets.
2 - distribution of products and suppliers to comply with the promotions that the company awarded.
3 - distributors not to sell any any items that compete directly or indirectly with the product, unless the provider agrees in writing.
4 - always ensure the minimum amount of inventory and ensure delivery schedules to customers.

Article 1: APPOINTMENT
suppliers appointed distributors do its exclusive distributors to distribute and sell the products (as defined in article 3) in the region: Vietnam and distributor accepts the appointment, together with the terms and conditions set forth in this agreement.
Article 2DELIVERY TERM:
Exclusive distribution agreement will take effect on July............................. and end to............................... The parties may decide to sign a new contract upon expiration in writing the consent of both sides. The contract may be terminated early as article 17.

Article 3: DUTIES and RESPONSIBILITIES of PROVIDERS of
Suppliers perform duties and responsibilities:
1-prepare the Prolite brand products (collectively referred to as products) are produced by suppliers.
2-provide guidance and support the delivery of program sales, advertising, promotions in each stage of development of the market (by company regulations).
3-provide products according to quality and trademarks registered.
4-row support provider model Prolite bags for first order.
5-payment of commissions to distributors on time.
Article 4: DUTIES and RESPONSIBILITIES of DISTRIBUTORS
distributors perform duties and responsibilities are as follows:
1-the Distributor attempts to reach sales goals.
2-distribution of the products of the supplier and the correct implementation of the promotions that the company awarded.
3-distributors not to sell any items would compete directly or indirectly with the product, unless the supplier agrees to written.
4-always ensure the minimum inventory quantity and ensure progress of deliveries to customers.
