- Căn cứ nhu cầu và năng lực của Các Bên tham gia Hợp đồng.

Bên A và Bên B sau đây trong Hợp đồng này được gọi riêng là «Bên» và gọi chung là «Hai Bên» hoặc «Các Bên» tùy theo ngữ cảnh.
Sau khi trao đổi, thoả thuận, Hai Bên đồng ý giao kết Hợp đồng dịch vụ (sau đây gọi tắt là «Hợp đồng») với các điều khoản sau:
ĐIỀU 1. NỘI DUNG HỢP ĐỒNG
Công việc thực hiện
Bên A đồng ý thuê và Bên B đồng ý nhận tư vấn, soạn hồ sơ và thay mặt bên A thực hiện thủ tục xin cấp Giấy chứng nhận cơ sở đủ điều kiện an toàn thực phẩm. Cụ thể, Bên B thực hiện các công việc cho bên A như sau:
- Nghiên cứu, đánh giá tính chất sự việc;
- Thay mặt bên A làm thủ tục “xin cấp Giấy chứng nhận đủ điều kiện an toàn thực phẩm” tại Sở Công Thương thành phố Hà Nội.
ĐIỀU 2. THỜI HẠN THỰC HIỆN HỢP ĐỒNG
Thời hạn thực hiện các công việc nêu tại Điều 1 cụ thể như sau:
20 - 25 ngày làm việc kể từ khi Bên A chuyển cho bên B hồ sơ đầy đủ, chính xác và bên B nhận được thanh toán phí dịch vụ giai đoạn thứ nhất quy định trên hợp đồng. Thời hạn thực hiện công việc có thể thay đổi do các trở ngại khách quan ngoài ý muốn của hai bên, sự kiện bất khả kháng và các trở ngại từ thủ tục hành chính.
ĐIỀU 3. PHÍ DỊCH VỤ, THỜI HẠN VÀ PHƯƠNG THỨC THANH TOÁN
3.1. Phí dịch vụ
- Phí dịch vụ sẽ được quy định cụ thể ở từng phụ lục hợp đồng.
3.2. Thời hạn và phương thức thanh toán
- Bên A sẽ thanh toán cho Bên B số tiền phí dịch vụ tại Điều 3.1 thành 2 giai đoạn như sau:
- Giai đoạn thứ nhất: Sau khi ký hợp đồng bên A thanh toán cho bên B: 50% giá trị hợp đồng để bên B tiến hành các thủ tục đại diện cho bên A.
- Giai đoạn thứ hai: Sau khi bên B bàn giao bản chụp Giấy chứng nhận cơ sở đủ điều kiện an toàn thực phẩm, đề nghị thanh toán và hóa đơn giá trị gia tăng cho bên A thì Bên A thanh toán toàn bộ số tiền 50% còn lại cho Bên B. Bên B chuyển Giấy chứng nhận bản gốc cho bên A ngay sau khi nhận được số tiền thanh toán còn lại.
- Thời gian thực hiện việc thanh toán trong vòng 7 ngày làm việc cho cả hai giai đoạn thanh toán trên.
- Phương thức thanh toán: Thanh toán bằng chuyển khoản vào tài khoản của bên B với thông tin như sau:

ĐIỀU 4. QUYỀN LỢI VÀ NGHĨA VỤ CỦA BÊN A
4.1. Cung cấp đầy đủ, trung thực những thông tin liên quan đến sự việc. Tự chịu trách nhiệm về tính chính xác, xác thực của những thông tin này. Tự chịu trách nhiệm nếu thông tin sai trái gây ảnh hưởng đến kết quả công viếc. Nếu cung cấp thông tin không đúng sự thực gây thiệt hại cho Bên B thì Bên A phải chịu trách nhiệm trước pháp luật;
4.2. Phối hợp với bên B về mặt thông tin và thủ tục trong quá trình làm việc;
4.3. Có nghĩa vụ thanh toán đầy đủ, đúng hạn phí dịch vụ theo quy định tại Điều 3 của Hợp đồng này;
4.4. Được Bên B thông báo những thông tin và kết quả làm việc trong quá trình giải quyết sự việc;
ĐIỀU 5. QUYỀN VÀ NGHĨA VỤ CỦA BÊN B
5.1. Bên B có nghĩa vụ cử nhân viên thực hiện nội dung dịch vụ nêu tại Điều 1 Hợp đồng này theo quy định của pháp luật;
5.2. Vận dụng mọi khả năng có thể theo quy định của pháp luật để thực hiện nội dung dịch vụ;
5.3. Giữ bí mật thông tin khách hàng, trong mọi trường hợp không được tiết lộ thông tin cho bên thứ ba khi chưa được sự đồng ý của Bên A;
5.4. Từ chối yêu cầu không phù hợp với pháp luật nếu bên A đặt ra;
5.5. Được yêu cầu bên A thanh toán đầy đủ, đúng hạn phí dịch vụ theo quy định tại Điều 3 của hợp đồng này;
5.6. Nếu bên B giữ Giấy tờ gốc của bên A thì phải thực hiện việc hoàn trả khi thực hiện xong dịch vụ.
ĐIỀU 6. BẢO MẬT THÔNG TIN
Mỗi Bên tham gia Hợp Đồng này có nghĩa vụ giữ bí mật mọi thông tin về nội dung của Hợp Đồng này và bất kỳ thông tin nào khác mà mình được Bên kia cung cấp, ngoại trừ trong các trường hợp sau:
6.1. Việc tiết lộ thông tin đó là theo yêu cầu hợp pháp của bất kỳ Cơ quan nhà nước có thẩm quyền nào;
6.2. Việc tiết lộ thông tin đó là cho bên tư vấn hợp pháp của Bên đó hoặc cho nhân viên hoặc công ty con của Bên đó, với điều kiện việc tiết lộ này được thực hiện thông qua việc ký kết một thoả thuận bảo mật, theo đó những người được tiết lộ cam kết sẽ tuân theo các quy định về b

ARTICLE 2. DURATION oF CONTRACT
Duration of the tasks defined in Article 1 as follows:
20-25 working days after party A to party B file transfer complete, accurate, and party B receives a service fee payment period stipulated in the first contract. Duration job performance may vary due to objective obstacles beyond the control of both parties, events of force majeure and other obstacles from the administrative procedure.
ARTICLE 3. SERVICE FEES, TIME LIMITS AND METHODS PAYMENT
3.1. Service Fees
- Service fees will be specified in each contract appendix.
3.2. The duration and method of payment
- Party A will pay Party B service charge amount in Article 3.1 into 2 phases as follows:
- First phase: After signing the contract, Party A will pay Party B: 50% of the contract value to party B to conduct the procedure represents the A.

ARTICLE 4. RIGHTS aND OBLIGATIONS OF A
4.1. Provide complete and truthful information relating to the matter. Solely responsible for the accuracy, authenticity of this information. Solely responsible if wrong information affecting work results. If providing untrue information damaging to Party B, Party A shall be responsible before the law;
4.2. Coordinate with the B on the information and procedures in the course of work;
4.3. There are payment obligations in full and on time service fee as stipulated in Article 3 of this Agreement;
4.4. Party B is notified of the information and the results of work in the process of settling the matter;
ARTICLE 5. RIGHTS AND OBLIGATIONS OF THE B
5.1. Party B has the obligation to appoint staff to carry out content services mentioned in Article 1 of this Agreement in accordance with the law;
5.2. Applying all possible under the law to implement the service;
5.3. Keep confidential customer information, in any case not to disclose information to third parties without the consent of Party A;
5.4. Reject the request is inconsistent with the law if the A pose;
5.5. A party is required to pay in full and on time service fee as stipulated in Article 3 of this contract;
5.6. If Party B, Party A's original papers, they must make the refund when the service is done.
ARTICLE 6. CONFIDENTIAL INFORMATION
Each Party to this Agreement are obliged to keep confidential all information about the content of this Agreement and any other information that you are providing the other Party, except in the following cases:
6.1. The disclosure of such information is in accordance with legal requirements of any state agency of competent jurisdiction;
6.2. The disclosure of such information is for the legal advice of the Party or to employees or subsidiaries of that Party, provided that the disclosure is made through the signing of a security agreement, according revealed that those who are committed to comply with the provisions of b
