Điều 1. Hồ sơ hợp đồng và thứ tự ưu tiên
1.1 Hồ sơ hợp đồng
Hồ sơ hợp đồng là bộ phận không tách rời của hợp đồng, bao gồm các căn cứ ký kết hợp đồng, các điều khoản, điều kiện của hợp đồng, các thỏa thuận khác có liên quan và các tài liệu sau:
Phụ lục số 1: Bao gồm:
a. Bản vẽ thiết kế thi công.
b. Bảng tổng dự toán thi công của Bên B lập và đã được Bên A & Chủ đầu tư phê duyệt.
c. Tiến độ thi công: Theo tiến độ dự án.
Phụ lục số 2: Các biểu mẫu hiện hành của Bộ Xây dựng, của Bên A (nếu có) và các tài liệu bổ sung như sau:
a. Các biểu mẫu do Bên A ban hành: Biên bản kiểm tra, khắc phục tiến độ thi công hàng tháng; Thông báo về việc chậm tiến độ và yêu cầu khắc phục tiến độ, Thông báo về việc yêu cầu chấm dứt hợp đồng...
b. Đề xuất của Bên B và tài liệu kèm theo (nếu có);
1.2 Thứ tự ưu tiên của các tài liệu: theo thứ tự nêu trên (từ trên xuống dưới).
Điều 2. Các định nghĩa và diễn giải
Các từ và cụm từ được định nghĩa và diễn giải trong công bố mẫu hợp đồng xây dựng ban hành kèm theo văn bản số 2508/BXD-VP ngày 26/11/2007 của Bộ Xây dựng được áp dụng cho Hợp đồng này.
Điều 3. Các qui định chung
3.1 Luật và ngôn ngữ
a. Hợp đồng này chịu sự điều chỉnh của hệ thống pháp luật của nước Cộng Hoà Xã Hội Chủ Nghĩa Việt Nam và các văn bản hướng dẫn có liên quan.
b. Ngôn ngữ giao dịch là tiếng Việt.
3.2 Nhượng lại
Không Bên nào được chuyển nhượng toàn bộ hoặc một phần Hợp đồng hoặc bất cứ phần lợi ích hoặc quyền lợi liên quan đến Hợp đồng mà không có sự thoả thuận bằng văn bản của phía Bên kia.
3.3 Việc bảo quản và cung cấp tài liệu
Tài liệu của Bên B để phục vụ thi công công trình hoặc các tài liệu có liên quan đến hợp đồng này phải được Bên B cất giữ cẩn thận cho tới khi được Bên A tiếp nhận. Nếu một Bên phát hiện thấy lỗi hoặc sai sót về mặt kỹ thuật trong tài liệu đã chuẩn
