Các bên thống nhất là lập ký kết thỏa thuận đặt cọc thiện chí này ( sau đây gọi tắt là Thỏa Thuận) để đảm bảo việc tham gia đăng ký mua một căn hộ tại Dự án Vinhomes Central Park do công ty Cổ Phần đầu tư xây dựng Tân Liên Phát làm chủ đầu tư (‘’Dự Án”) với các nội dung sau đây:

Điều 1: Nội dung thỏa thuận.
1.1 Số tiền đặt cọc thiện chí:
a) Bên A giới thiệu cho Bên B mua căn hộ LP-46-OT03, do bên A là Đại lý chiến lược tại dự án Vinhomes Central Park của Công ty CP Đầu Tư Xây Dựng Tân Liên Phát làm chủ đầu tư.
b) Số tiền đặt cọc là 100.000.000 VND (Một trăm triệu đồng chẵn).
c) Hình thức thanh toán:
• Bên B thanh toán chuyển khoản tiền đặt cọc đến tài khoản sau:

1.2 Trừ trường hợp các bên có các thỏa thuận khác, tiền cọc thiện chí sẽ không được tính lãi trong suốt thời gian đặt cọc và sẽ được xử lý như sau:
a) Trường hợn bên B đã ký kết Thỏa Thuận Đặt Cọc với Chủ Đầu Tư để đăng ký tham gia chọn mua Căn Hộ thì tiền cọc thiện chí thỏa thuận này sẽ được chuyển thành tiền đặt cọc cho chủ đầu tư theo thỏa thuận đặt cọc ký kết với chủ đầu tư.
b) Trường hợp Bên B không thực hiện ký kết thỏa thuận đặt cọc với chủ đầu tư trong thời hạn nêu tại điều 2.2.b dưới đây theo hướng dẫn của Bên A và chính sách của chủ đầu tư thì Bên B đồng ý rằng Bên A sẽ không phải hoàn trả tiền cọc thiện chí cho Bên B.
Trường hợp Bên A không đảm bảo cho Bên B được ký kết thỏa thuận đặt cọc với chủ đầu tư trong thời hạn nêu tại Điều 2.2.b dưới đây theo đúng thỏa thuận này thì Bên A có trách nhiệm hoàn trả cho Bên B toàn bộ số tiền cọc đã nhận và chịu phạt một khoản với giá trị tương đương.
c) Dự kiến ngày 22/04/2016 Ký Hợp Đồng Mua Bán

1.3 Thỏa thuận khác: Bên A đã nhận từ ông PARACHA MUHAMMAD SALEEM tiền giữ chỗ 100.000.000đồng (một trăm triệu đồng chẵn). Bên A sẽ hoàn trả lại cho ông PARACHA MUHAMMAD SALEEM số tiền trên ngay sau khi Bên B chuyển khoản thanh toán thành công cho Công ty CP Đầu Tư TMDV THÀNH ĐÔ như điều 1.1

Điều 2: Cam kết của các bên
2.1 Cam kết của Bên A:
a) Có trách nhiệm giới thiệu và đảm bảo Chủ Đầu Tư sẽ hoàn thành thủ tục cho Bên B đăng ký tham gia mua căn hộ tại dự án.
b) Thông báo bằng văn bản cho Bên B về thời gian ký kết các tài liệu với chủ đầu tư.

2.2 Cam kết của Bên B
a) Được Bên A giới thiệu để đăng ký tham gia chọn mua căn hộ theo quy định tại thỏa thuận này
b) Theo giới thiệu của Bên A, Bên B có trách nhiệm thực hiện việc ký kết theo thỏa thuận đặt cọc với chủ đầu tư (từ khi Chủ Đầu Tư có thông tin Booking căn sau 5 ngày) để đăng ký tham gia chọn mua căn hộ tại dự án theo chính sách bán hàng của chủ đầu tư.
c) Không rút tiền cọc trong suốt thời hạn đặt cọc, trừ trường hợp các bên có thỏa thuận khác
d) Đã hiểu rõ thông tin về dự án và hoàn toàn tự nguyện ký kết Thỏa thuận này nhằm đảm bảo cho các cam kết của mình.




Điều 3: Hiệu lực thỏa thuận
Trừ khi có thỏa thuận khác bằng văn bản của các bên, thỏa thuận này có hiệu lực kể từ ngày ký và tự động chấm dứt khi các Bên đã thực hiện xong các quyền, nghĩa vụ của mình theo thỏa thuận.
Thỏa thuận này được lập thành 02 (hai) bản và có giá trị như nhau. Bên A giữ 01 (một) bản và Bên B giữ một bản để làm cơ sở thực hiện.
