ĐIỀU 11: GIỮ BÍ MẬT
Các Bên nhất trí và cam kết với Bên kia rằng trong thời hạn hợp đồng đã được ký kết và đăng ký cho dù hợp đồng kết thúc hoặc chấm dứt sớm hơn thời hạn hợp đồng đã được thỏa thuận và đăng ký sẽ không tiết lộ bất kỳ thông tin công nghệ nào dù là vô tình hay cố ý ( bao gồm bí quyết công nghệ, bí mật thương mại, kiến thức kỹ thuật, hậu mãi, công thức, quy trình, phương pháp và bất kỳ thông tin nào khác có giá trị thương mại) nhận được từ Bên kia trừ khi có sự đồng ý trước bằng văn bản của Bên kia, sự thỏa thuận này sẽ không bị bác bỏ nếu không có lý do chính đáng.
Tuy nhiên, điều này không áp dụng đối với các thông tin mà Bên nhận đã biết trước thời điểm chuyển giao công nghệ cũng như đối với các thông tin công nghệ đã hoặc đang trở thành phổ biến rộng rãi không do vi phạm hợp đồng này hoặc Bên nhận có được một cách hợp pháp từ Bên thứ ba không hạn chế bảo mật, đồng thời, trong chừng mực cần thiết để thực hiện mục tiêu của hợp đồng này Bên nhận được phép tiết lộ cho các nhân viên của mình hoặc người khác những thông tin cần thiết để thực hiện việc sản xuất, sử dụng, bán hay thay đổi sản phẩm với điều kiện là trước khi tiết lộ thông tin như vậy Bên nhận phải thông báo cho nhân viên liên quan biết về nghĩa vụ bảo mật theo hợp đồng và phải đảm bảo sao cho các nhân viên đó thực hiện nghĩa vụ bảo mật trong mọi thời điểm.
Trong bất kỳ trường hợp nào, Bên giao không được để lộ ra cho Bên thứ ba về thông tin bí mật mà Bên nhận đã chuyển cho Bên giao có liên quan đến hợp đồng này.

ARTICLE 11: CONFIDENTIAL
