Gọi là cổ phiếu ưu đãi vì thông thường cổ tức được chia cao hơn cổ phiếu thường, và khi công ty bị thanh lý thì có ưu tiên thanh toán hơn cổ phiếu thường.
Có nhiều phân loại cho cổ phiếu ưu đãi tùy theo các điều kiện ưu đãi cho cổ phiếu đó tựu trung có những hình thức như sau:
a. Cổ phiếu ưu đãi được chia cổ tức cao hơn cổ phiếu thường, bù lại cổ phiếu ưu đãi không được dự chia giá trị gia tăng của doanh nghiệp khi doanh nghiệp kinh doanh tốt hơn.
b. Cổ phiếu ưu đãi dự phần, cũng như trên, cổ phiếu này được chia cổ tức cao hơn cổ phiếu thường, và thỉnh thoảng được dự chia giá trị gia tăng của doanh nghiệp.
