Sau khi bàn bạc các bên thống nhất giao kết văn bản thoả thuận này với những nội dung và điều khoản như sau:
Điều 1: Các bên thống nhất công nợ đối với các hợp đồng đã thực hiện như sau.

1.2. Bên B đồng ý cho bên A giữ lại 5% phí bảo hành theo hợp đồng MDA-2014-0329/SKY/03 số tiền là: 179.410.000 (Một trăm bảy mươi chín triệu bốn trăm mười ngàn đồng)
1.3. Bên B đồng ý khấu trừ cho bên A số tiền bên A đã sử dụng để sửa chữa bảo hành cho hợp đồng MDA-2014-06250-SKY là: 53.861.500 (Năm mươi ba triệu tám trăm sáu mươi mốt triệu năm trăm ngàn đồng)
1.4. Vậy các bên thống nhất công nợ đối với các hợp đồng MDA-2013-1108-SKY; MDA-2014-0219-SKY; MDA-2014-0329/SKY/03;MDA-2014/0329/SKY/02 là: 3.952.751.919 - 179.410.000 - 53.861.500 = 3.719.480.419 (Ba tỷ bảy trăm mười chín triệu bốn trăm tám mươi ngàn bốn trăm mười chín đồng).
Điều 2:
2.1. Trong thời hạn 5 ngày làm việc kể từ ngày giao kết văn bản thoả thuận này, bên A cam kết thanh toán cho bên B số tiền: 2.719.480.419 (Hai tỷ bảy trăm mười chín triệu bốn trăm tám mươi ngàn bốn trăm mười chín đồng).
2.2. Ngay khi các bên hoàn tất thủ tục quyết toán đối với hợp đồng MDA-2014-0625-SKY, bên A cam kết thanh toán cho bên B số tiền 1.000.000.000 (Một tỷ đồng) còn lại theo thoả thuận tại Điều 1 của hợp đồng.
2.3. Ngay sau khi bên A thanh toán số tiền: 2.719.480.419 (Hai tỷ bảy trăm mười chín triệu bốn trăm tám mươi ngàn bốn trăm mười chín đồng), Bên B cam kết thực hiện thủ tục rút đơn khởi kiện tại TAND quận Thanh Xuân.
Điều 3:
3.1. Các bên thống nhất cùng nhau thực hiện thủ tục quyết toán đối với các hợp đồng MDA-2014-0503-SKY/02; MDA-0214-0625-SKY trong thời hạn 30 ngày kể từ ngày giao kết hợp đồng này.
3.2. Sau khi hoàn thành thủ tục quyết toán quy định tại Điều 3.1 của vn bản thoả thuận này, bên A cam kết đến trước ngày 30/3/2016 sẽ thanh toán chăo bên B toàn bộ số công nợ đã được quyết toán cho các hợp đồng MDA-2014-0503-SKY/03; MDA-0214-0625-SKY.
3.3. Nếu hết thời hạn 30 ngày, các bên không hoàn tất được thủ tục quyết toán đối với hợp đồng MDA-2014-0503-SKY/02 và hợp đồng MDA-0214-0625-SKY thì:
3.3.1. Bên B có quyền khởi kiện yêu cầu bên A thanh toán số tiền 1.000.000.000 (Một tỷ đồng) quy định tại Điều 2.1. của văn bản này.
3.3.2. Một trong các bên có quyền khởi kiện yêu cầu TAND có thẩm quyền giải quyết đối với các hợp đồng MDA-2014-0503-SKY/03l;MDA-0214-0625-SKY.
Điều 4:
Văn bản này được lập thành 4 bản song ngữ (Tiếng Anh và Tiếng Việt) có giá trị pháp lý như nhau mỗi bên giữ 2 bản để làm căn cứ thi hành. Trong trường hợp có sự không thống nhất giữa nội dung tiếng Anh và tiếng Việt thì nội dung Tiếng Việt sẽ được ưu tiên áp dụng.
