Đã tiến hành họp bàn về việc góp vốn cùng kinh doanh với các nội dung cụ thể như sau:
Mục đích góp vốn: Tạo nguồn vốn kinh doanh lưu động cho các mặt hàng nguyên liệu cho ngành chế biến thủy hải sản, nông sản...
Số vốn góp, loại tài sản góp của từng thành viên: Tổng giá trị vốn góp là 7.000.000.000 (Bảy tỷ đồng), trong đó các bên góp chi tiết sau:
Bên A: Đóng góp bằng giá trị hàng hóa hiện có (trên đường đi, hàng tồn kho...) tương đương 4.000.000.000 (Bốn tỷ đồng)
Bên B: Góp vốn một lần bằng tiền mặt 3.000.000.000 (Ba tỷ đồng)
Thời gian góp vốn: Trong vòng 10 ngày kể từ ngày ký biên bản thỏa thuận này.
Người quản lý vốn góp: Bên A sẽ là người trực tiếp điều hành và chịu trách nhiệm quản lý nguồn vốn này một cách hợp pháp và hiệu quả nhất.
cAM KẾT HAI BÊN:
Bên A, bảo đảm các hoạt động kinh doanh hiện hữu cũng như sử dụng nguồn vốn góp vào mục đích kinh doanh rõ ràng như đã thỏa thuận. Thông báo định kỳ cho các bên góp vốn tiến trình sử dụng nguồn vốn cũng như khả năng rủi ro và sinh lãi từ nguồn vốn góp này.
Bên B, cam kết góp vốn đúng thời hạn và tích cực tham gia vào tiến trình quản lý và điều hành theo sự điều tiết của bên A, sao cho dòng vốn góp sanh lợi tốt nhất, rủi ro ít nhất.
Nguyên tắc chia lợi nhuận:
Thời gian chia lợi nhuận: Từng quý hoặc sau khi quyết toán sổ sách, chứng từ vào niên hạn kế toán (Chậm nhất 31/12 hằng năm)
Tỉ lệ chia lợi nhuận:
Bên A: 65% tổng lợi nhuận từ nguồn vốn đóng góp của hai bên.
Bên B: 35% tổng lợi nhuận từ nguồn vốn đóng góp của hai bên.
Thời gian thoái vốn: Sau 5 năm kể từ ngày góp vốn có hiệu lực hoặc theo thỏa thuận khác bằng văn bản của hai bên.

Biên bản này được thành lập hai bản, mỗi bên giữ một bản có giá trị pháp lý như nhau. Các bên đã thống nhất thông qua biên bản với nội dung trên và cùng ký tên dưới đây
