Licensing and Distributorship Agreement

between

GoNMF of Woodbridge, Virginia and

and

NAM VIET THAI SON SJC AS of Ho Chi Minh City, Vietnam



This document is a legally-binding CONTRACT between the signatory parties.


SIGNATORIES
For the purpose of this contract, Joseph P. Lehnerd represents GoNMF and Mr. ___ Tung represents NAM VIET THAI SON SJC.

PURPOSE
GoNMF enters into this agreement with NAM VIET THAI SON SJC with the express intent and purpose of providing NAM VIET THAI SON SJC with both physical and intellectual property and appropriate licensing rights to operate as a distributor of NMF Ionic Friction Reducer, or NMF.


MARKETING AND SALES RIGHTS
GoNMF grants NAM VIET THAI SON SJCthe right to market and sell NMF in Vietnam.

REPORTING
NAM VIET THAI SON SJC will provide periodic marketing and sales reports to GoNMF. At a minimum, the reports will contain the following information: Sales per bottle size every three months.

BOTTLING AND LABELING
NAM VIET THAI SON SJC will purchase NMF from GoNMF and label the bottles as follows:

NAM VIET THAI SON SJC will ensure that the original NMF logo appears on the bottle as well as an acknowledgement of Lehnerd Labs Innovative Products, LLC as the manufacturer. The concept of “Ionic Friction Reducer” will be conveyed either in English or in Vietnamese. NAM VIET THAI SON SJC will submit proposed NMF bottle label design(s) to GoNMF for approval prior to putting them on the market.

NAM VIET THAI SON SJC will have written agreements with its customers that prohibit repackaging, re-labeling or otherwise altering the outward appearance or physical content of any GoNMF product distributed by NAM VIET THAI SON SJC.

NAM VIET THAI SON SJC will ensure that only NMF in its original state—and no other substance in any quantity—goes into NMF bottles under the control of NAM VIET THAI SON SJC and no NMF in any quantity goes into any other container.

NAM VIET THAI SON SJC will not use NMF as an ingredient in another product nor provide NMF to any person which NAM VIET THAI SON SJC is aware intends to use NMF as an ingredient in a product.
