Hai bên đã trao đổi, bàn bạc, thỏa thuận và nhất trí ký kết hợp đông “ Góp vốn – Liên doanh hợp tác đầu tư thực hiện dự án Xây dựng Khu du lịch nghỉ dưỡng Bình Minh với các nội dung sau đây:

Điều 01: Đối Tượng và Điều Kiên Hợp Đồng
1.1-Đối tượng Hợp đồng:
Trong Hợp đồng này, “ Đối tượng Hợp đồng” là: Liên doanh hợp tác đầu tư khai thác dự án đầu tư xây dựng Khu du lịch nghỉ dưỡng Bình Minh ( sau đây gọi và viết tắt là “Dự án”) tại xã Phước Thuận, huyện Xuyên Mộc, tỉnh BR-VT. Do công ty TNHH Thủy sản Bình Minh ( Bên A) làm chủ đầu tư theo giấy chứng nhận đầu tư, do UBND tỉnh BR-VT cấp và công ty Công ty Cổ phần Quốc tế Lê Đại Nam (sau đây gọi tắt là bên B) cùng liên doanh hợp tác đầu tư.

Điều 02: Phần Vốn Góp
2.1-Phần vốn góp của hai bên
- Hai bên đồng ý giá trị của dự án đến thời điểm ký hợp đồng hiện tại là : 100% cổ phần tương đương 5.000.000 USD( năm triệu mỹ kim)
- Bên B nhất trí liên doanh góp vốn chuyển đổi 80% cổ phần từ bên A chuyển cho bên B được quyền sở hữu với giá trị bên B phải thanh toán cho bên A là 4.000.000 USD(bôn triệu mỹ kim) chuyển đổi thanh toán qua VND theo tỷ giá của ngân hàng nhà nước theo từng thời điểm thanh toán
- Bên A sau khi chuyển đổi 80% cổ phần dự án cho bên B sẽ còn lại quyền sở hửu 20% cổ phần của dự án tương đương 1.000.000USD(một triệu mỹ kim)
- Phần sở hữu cổ phần dự án của bên A và B sau khi chuyển đổi gồm bên A = 20% và bên B = 80%. Tổng 2 bên bằng 100% cổ phần của dự án
2.2-Lợi nhuận – Quyền lợi – Trách nhiệm và Nghĩa vụ của mỗi bên:
Được phân chia theo tỷ lệ nêu tại điều 2.1

Điều 03: Lợi Tức Và Giá Trị Hoàn Lại Của Phần Vốn Góp
3.1-Lợi tức:
Phụ thuộc vào kết quả đầu tư, vận hành và khai thác kinh doanh của Dự án, được chia cho các bên góp vốn theo tỷ lệ sở hữu phần vốn góp của mỗi bên theo quy định của pháp luật tại thời điểm Công ty chia lợi tức nếu Công ty không có quy định khác.
3.2-Giá trị hoàn lại:
​3.2.1-Trường hợp giá trị hoàn lại bằng tiền:
​*Có giá trị bằng: Lũy kế( số vốn góp + lợi tức) từ tất cả các lần góp vốn cộng lại đến thời điểm nhận lại Phần vốn góp.
​3.2.2-Trường hợp giá trị hoàn lại bằng quyền sở hữu một phần giá trị Dự án:
​*Có giá trị bằng: Giá trị về quyền sử dụng đất sau khi Công ty đã hoàn thành việc giải phóng mặt bằng (GPMB) và/hoặc tài sản hình thành trên đất của Dự án theo quy hoạch được cấp có thẩm quyền phê duyệt tương đương số vốn góp lũy kế tại thời điểm nhận lại Phần vốn góp của mỗi bên.

Điều 04: Hình Thức, Thời Hạn và Tiến Độ Góp Vốn
4.1-Thời gian và tiến độ góp vốn:
​4.1.1-Thời gian thực hiện góp vốn chuyển đổi cổ phẩn theo điều 2 không quá 40 Ngày làm việc kể từ ngày ký kết hợp đồng liên doanh vốn góp giữa bên A và B.

4.2-Vốn góp để thanh toán cho cổ đông của bên B:
4.2.1-Hai bên đồng ý 100% vốn cổ phần của dự án đến thời điểm 2 bên ký kết hợp đồng giá trị bằng: 5.000.000 ( năm triệu mỹ kim)
4.2.2-Bên B có trách nhiệm huy động giao cho bên A để thanh toán 80% cổ phần mà bên B muốn sở hữu theo lịch trình thanh toán cụ thể như sau:
​Đợt I- sau khi 2 bên kỳ hợp đồng 10 ngày bên B thanh toán cho bên A 500.000 USD Tương đương: 10% Cổ phần của Dự án. quy đổi ra việt nam đồng là : 11.164.500 .000 m( mười một tỷ một trăm sáu mươi tư triệu năm trăm ngàn đồng ) đó là tiền đặt cọc cho bên A nếu sau 30 ngày làm việc đến ngày / /2016 mà bên B không chuyển tiếp đợt 2 thì hai bên thanh lý hợp tác đầu tư này, bên A không phải thanh toán lại cho bên B số tiền đặt cọc trên .
Đợt II- Bên B thanh toán tiền cho bên A 2.000.000USD(hai triệu mỹ kim)
