Nếu căn cứ vào tính chất thành viên

Nếu căn cứ vào tính chất thành viên và chế độ chịu trách nhiệm tài sản, thì partnership theo Luật doanh nghiệp có thể được chia thành hai loại. Loại thứ nhất là những công ty giống với partnership theo pháp luật các nước, tức là chỉ bao gồm những thành viên hợp danh (chịu trách nhiệm vô hạn về các khoản nợ và nghĩa vụ tài sản của công ty). Loại thứ hai là những công ty có cả thành viên hợp danh và thành viên góp vốn (chịu trách nhiệm hữu hạn) gọi là partnership hữu hạn hay công ty hợp vốn đơn giản và là một loại hình của công ty đối nhân. Với quy định về partnership, Luật doanh nghiệp đã ghi nhận sự tồn tại của các công ty đối nhân ở Việt Nam. Loại hình partnership mới chỉ được quy định trong Luật doanh nghiệp năm 1999 nên trên thực tế loại hình doanh nghiệp này chưa phổ biến.
