Pháp luật hiện hành quy định DNNN được tổ chức quản lý theo hai hình thức: Công ty TNHH một thành viên có hội đồng thành viên hoặc Công ty TNHH một thành viên có chủ tịch công ty. Mô hình quản lý này do chủ sở hữu cân nhắc quyết định, tuy nhiên đối với những công ty mẹ của Tập đoàn kinh tế, Tổng công ty Nhà nước bắt buộc phải tổ chức theo cơ cấu có Hội đồng thành viên.
Pháp luật về tổ chức quản lý DNNN đã được quy định khá đầy đủ, tuy nhiên vẫn còn được quy định rải rác trong nhiều văn bản luật khác nhau và vẫn còn nhiều điểm cần phải được hoàn thiện hơn. Tại luận văn thạc sỹ, tác giả nêu ra những vẫn đề lý luận về DNNN nói chung và về tổ chức quản lý doanh nghiệp nói riêng. Đồng thời tác giả cũng nghiên cứu về mặt thực trạng tổ chức quản lý DNNN theo hai tiêu thức: (i) tổ chức quản lý DNNN là công ty TNHH một thành viên độc lập và, (ii) tổ chức quản lý DNNN là công ty TNNN một thành viên thuộc cơ cấu công ty mẹ - công ty con. Luận văn còn đưa ra hai ví dụ của Agribank chi nhánh 6 và Tập đoàn Vinashin để phân tích, làm sáng tỏ thực trạng và những điểm còn hạn chế của quy định pháp luật về tiêu chuẩn của người quản lý DNNN và quyền, trách nhiệm của các cơ quan quản lý DNNN. Từ đó, luận văn đưa ra những phương hướng hoàn thiện pháp luật và nâng cao hiệu quả thực thi pháp luật về tổ chức quản lý DNNN.

The current law regulating SOE hosted managed in two forms: a member company board member or member company has the President of the company. The essay also give two example of Agribank branch 6 and Vinashin group to analyze, clarify status and limited points of the legal provisions on SOE Manager's standards and rights, the responsibility of the STATE-OWNED Agency. From there, take out the directions to perfect the law and improve the efficiency of enforcement of SOE management organization.

Thesis also offers two examples of Agribank branch 6 and Vinashin Group to analyze and clarify the status and limited points of law on standardization of the management of SOEs and the rights, responsibilities management of SOEs agencies. Since then, the thesis give directions improve the law and improve the efficiency of law enforcement organizations to manage SOEs.
