HIỆU LỰC CỦA HỢP ĐỒNG, XỬ LÝ NHỮNG TRƯỜNG HỢP PHÁT SINH VÀ TRANH CHẤP
12.1 Hợp Đồng có hiệu lực 03 năm kể từ ngày nêu tại trang đầu Hợp Đồng. Sau thời hạn này, trừ trường hợp Các Bên quyết định điều chỉnh khác đi, Hợp Đồng sẽ tự động được gia hạn với thời hạn là 01 năm.
12.2 Trong khi thực hiện Hợp Đồng và Phụ Lục Hợp Đồng nếu có vấn đề phát sinh, Các Bên cùng nhau bàn bạc thỏa thuận giải quyết. 12.4 Trường hợp bất cứ điều khoản nào của Hợp Đồng này bị vô hiệu, không hợp pháp hay không thể thực hiện được, thì hiệu lực, tính hợp pháp và khả năng thực hiện của những điều khoản còn lại sẽ không bị ảnh hưởng hay tổn hại.
12.5 Hợp Đồng này, cùng với Phụ Lục Hợp Đồng, tạo thành một hợp đồng duy nhất và toàn bộ giữa hai Bên và thay thế tất cả các thỏa thuận, cam kết, giao dịch, ghi nhớ hay chấp thuận trước đây dù là bằng miệng hay bằng văn bản.
12.6 Hợp đồng này được lập thành 04 (bốn) bản, trong đó Công Ty giữ 03 (ba) bản, Đại Lý giữ 01 (một) bản có giá trị pháp lý như nhau.
