Theo Công ước Viên năm 1980: Hợp đồng ngoại thương là hợp đồng ký kết giữa các bên có quốc tịch khác nhau hoặc có trụ sở thương mại ở các nước khác nhau. Theo luật Việt Nam: Hợp đồng ký với thương nhân nước ngoài có nghĩa là một bên là thương nhân Việt Nam một bên là thương nhân nước ngoài.
