Nếu trong xí nghiệp liên doanh có một Bên Việt Nam và nhiều Bên nước ngoài hoặc một Bên nước ngoài và nhiều Bên Việt Nam, thì Bên Việt Nam hoặc Bên nước ngoài ít nhất có hai thành viên trong Hội đồng quản trị.

Chủ tịch Hội đồng quản trị do các bên thoả thuận cử ra.

Tổng giám đốc và các Phó tổng giám đốc do Hội đồng quản trị cử ra để điều hành các hoạt động hàng ngày của xí nghiệp và chịu trách nhiệm trước Hội đồng quản trị về hoạt động của xí nghiệp.
