ĐIỀU 4: CHẾ TÀI VI PHẠM HỢP ĐỒNG
4.1 - Nếu Bên A tự ý đơn phương chấm dứt hợp đồng mà không do lỗi của Bên B thì phải bồi thường cho Bên Bên B những thiệt hại do hành vi đơn phương gây ra, hai bên thống nhất mức bồi thường sẽ là 10.000.000đ (mười triệu đồng). Việc hoàn trả khoản bồi thường trên phải được Bên A thực hiện trong vòng 05 (năm) ngày làm việc kể từ ngày nhận được thông báo của Bên B.
4.2 – Trong quá trình hợp tác, nếu bất kỳ Sản phẩm nào Bên A cung cấp cho Bên B vi phạm quy định của pháp luật Việt Nam, cũng như các quyền, nghĩa vụ của đối tượng khác (như vi phạm quyền tác giả, quyền liên quan, đạo đức xã hội...), Bên A phải có trách nhiệm bồi thường cho Bên B do hành vi vi phạm gây ra với mỗi sản phẩm bị vi phạm là 5.000.000đ (năm triệu đồng). Trong trường hợp này, Bên B có quyền chấm dứt hợp đồng với Bên A mà không cần phải thông báo.
4.3 - Nếu Bên B bị bất kỳ một bên thứ ba khiếu nại hoặc khởi kiện về việc vi phạm quyền sở hữu trí tuệ của những sản phẩm do Bên A cung cấp, Bên A phải chịu trách nhiệm làm việc với bên thứ ba đó và chịu mọi án phí cũng như các chi phí liên quan đồng thời có trách nhiệm bồi thường cho Bên B như quy định tại Điều 4.2 của Hợp đồng này
