Bản chất của hợp đồng là sự thoả thuận, vì thế luật pháp không chỉ cho phép các bên tự thoả thuận, lựa chọn áp dụng các hình thức chế tài mà luật quy định rõ điều kiện áp dụng, hậu quả pháp lý…mà còn cho phép các bên tự do thoả thuận để đưa ra các hình thức chế tài phù hợp với quy định của pháp luận. Các nguyên tắc này không được trái với nguyên tắc cơ bản của pháp luật Việt Nam, điều ước quốc tế mà cộng hoà xã hội chủ nghĩa Việt Nam là thành viên và tập quán thương mại quốc tế
