- Căn cứ vào nhu cầu của bên sử dụng và khả năng cung cấp dịch vụ viễn thông của Công ty viễn thông Viettel.

Hai Bên thoả thuận ký kết Hợp đồng cung cấp dịch vụ Office Wan (dưới đây gọi là “Hợp đồng”) với các điều khoản sau:
ĐIỀU 1. NỘI DUNG HỢP ĐỒNG:
1.1. Bên B đồng ý cung cấp dịch vụ MetroWan cho bên A các thỏa thuận và cam kết theo các điều khoản của Hợp đồng này và theo Phụ lục đính kèm hợp đồng này.
1.2. Chất lượng dịch vụ : Bên B cam kết cung cấp dịch vụ cho bên A đảm bảo chất lượng như sau:
2.1 Cam kết băng thông: >=80%.
2.2 Cam kết về độ khả dụng (end to end): 98,6%.
ĐIỀU 2. GIÁ CƯỚC VÀ PHƯƠNG THỨC THANH TOÁN:
2.3 Giá cước phí được áp dụng theo quy định của pháp luật và theo thoả thuận tại Phụ lục đính kèm hợp đồng này. Nếu thời gian sử dụng dịch vụ của tháng bắt đầu và tháng KH đề nghị ngừng sử dụng dịch vụ chưa đủ tháng, cước phí sẽ được tính bằng cước trọn tháng chia cho 30 ngày và nhân với số ngày thực tế sử dụng dịch vụ trong tháng đó.
2.4 Khi có sự thay đổi về giá cước theo quy định của Bộ Bưu chính viễn thông, Tổng Công ty Viễn thông Viettel, bên B có trách nhiệm thông báo cho bên A bằng văn bản. Thời điểm có hiệu lực của giá cước mới thực hiện theo văn bản quy định của Bộ Bưu chính viễn thông, Tổng Công ty Viễn thông Viettel. Văn bản thông báo của bên B là văn bản bổ sung, thay đổi hợp đồng và có hiệu lực không cần bên A xác nhận và ký vào văn bản.
2.5 Giảm trừ giá cước:
Trong trường hợp chất lượng dịch vụ không tuân thủ như Điều 1 của Hợp đồng này thì bên B có trách nhiệm giảm cước cho bên A. Phần cước được giảm trừ sẽ được khấu trừ vào tháng kế tiếp:

Thời gian mất liên lạc để tính giảm cước được quy định như sau:
Dưới 30 phút: không thực hiện giảm trừ cước.
Trên 30 phút đến 60 phút: Gián đoạn liên lạc từ 30 phút trở lên được tính tròn 1h.
Trên 1 giờ: phần lẻ (phút) nhỏ hơn 30 phút làm tròn bằng 0, lớn hơn 30 phút làm tròn thành 1h.
2.6 Hình thức thanh toán:

 Chuyển khoản
 Tại địa chỉ giao dịch của Bên A

 Tại địa chỉ gửi thông báo cước của bên A
 Tại các điểm giao dịch của Viettel Telecom
 Đơn vị thụ hưởng: Tập đoàn Viễn thông Quân đội, Địa chỉ số 1 Giang Văn Minh - Ba Đình - Hà Nội.

2.7 Thời hạn thanh toán
a. Bên A thanh toán cho Bên B toàn bộ phí trả một lần như trong Phụ lục đi kèm trong vòng 05 ngày kể từ ngày hai bên ký vào hợp đồng.
b. Trong thời hạn 20 ngày kể từ ngày cuối cùng của tháng tính cước, bên B có trách nhiệm gửi thông báo cước (nếu có) đến địa chỉ mà bên A đăng ký. Nếu đến ngày cuối cùng của thời hạn gửi thông báo thanh toán cước, Bên A chưa nhận được thông báo cước, Bên A có thể liên hệ đến số điện thoại [phone] để được cung cấp thông tin
c. Trong thời hạn 20 ngày kể từ ngày cuối cùng của kỳ cước, Bên B không nhận được phản hồi nào của Bên A, coi như Bên A đã nhận được thông báo thanh toán cước.
d. Trong thời hạn tối đa là 25 ngày kể từ ngày cuối cùng của kỳ cước, Bên A có trách nhiệm thanh toán đầy đủ các khoản cước phí đã sử dụng. Quá thời hạn trên, Bên B có quyền tạm ngưng toàn bộ dịch vụ. Bên A chịu trách nhiệm lãi suất phát sinh cho số tiền chậm trả theo lãi suất nợ quá hạn do ngân hàng nhà nước Việt Nam quy định tương ứng trên số tiền chậm trả tại thời điểm thanh toán.
ĐIỀU 3. QUYỀN VÀ NGHĨA VỤ CỦA BÊN A:
3.1 Quyền của bên A
a. Được quyền sử dụng dịch vụ hợp pháp theo Phụ lục đính kèm của hợp đồng này theo đúng tiêu chuẩn chất lượng, an toàn thông tin do pháp luật quy định;
b. Khiếu nại về những sai sót trong việc cung cấp dịch vụ của bên B theo quy định của pháp luật. Trong thời gian khiếu nại, Bên A vẫn phải thanh toán cước phí đầy đủ theo quy định của Bên B;
c. Yêu cầu bên B thay đổi các nội dung trong hợp đồng, tạm ngừng hoặc ngừng hẳn việc cung cấp một phần hoặc toàn bộ dịch vụ;
d. Ðược hưởng các chương trình chăm sóc khách hàng và các ưu đãi dành cho khách hàng lớn theo quy định của Bên B;
e. Được giảm trừ cước thuê bao với điều kiện sự cố thuê bao đó >24h (đã được thông báo lên hệ thống tổng đài báo hỏng 19008098).
3.2 Nghĩa vụ của bên A
a. Sử dụng dịch vụ theo đúng các điều khoản thỏa thuận trong Hợp đồng và các phụ lục Hợp đồng;
b. Có trách nhiệm thanh toán cước đủ, đúng hạn và chịu mọi chi phí (chuyển tiền, phí ngân hàng và các chi phí khác co liên quan) phát sinh khi thanh toán cước đảm bảo bên B nhận được đủ số tiền cước trong hóa đơn cước hàng hàng ( kể cả trong thời gian chờ giải quyết khiếu nại).
c. Quản lý, sử dụng thiết bị, dịch vụ theo đúng các quy định của pháp luật và thông báo, hướng dẫn của bên B; không sử dụng các dịch vụ ngoài danh mục dịch vụ đã đăng ký trong Hợp đồng và Phụ lục đính kèm; không sử dụng trái phép hoặc kinh doanh lại dịch vụ dưới bất kỳ hình thức nào khi chưa được phép của bên B;
d. Cung cấp trung thực và tự chịu trách nhiệm trước pháp luật về các thông tin cung cấp, về mục đích, quy mô, cấu hình mạng và các thông tin khác liên quan đến hợp đồng, đến việc sử dụng dịch vụ OfficeWan cho Bên B. Trong trường hợp có thay đổi các thông tin đó, Bên A phải thông báo cho Bên B biết 30 ngày trước ngày có thay đổi.
e. Có trách nhiệm đầu tư thiết bị, phần mềm điều khiển mạng và Modem đảm bảo tương thích với mạng viễn thông của Bên B;
f. Tạo điều kiện thuận lợi cho Bên B triển khai dịch vụ. Trong thời hạn 30 ngày kể từ ngày ký hợp đồng phải đảm bảo đầy đủ thiết bị để cài đặt, sử dụng dịch vụ của Bên B.
g. Bồi thường các thiệt hại do làm mất, hỏng thiết bị do Bên B cung cấp (nếu có)
h. Nếu phát hiện có sự cố kỹ thuật xảy ra mà do lỗi của Bên B, Bên A cần thông báo kịp thời cho Bên B qua số điện thoại: [phone] để cùng phối hợp giải quyết.
ĐIỀU 4. QUYỀN VÀ NGHĨA VỤ CỦA BÊN B:
4.1 Quyền của bên B
a. Được kiểm tra việc sử dụng dịch vụ viễn thông của bên A theo quy định pháp luật. Trường hợp thiết bị đầu cuối, mạng lưới nội bộ…(do bên A tự trang bị và lắp đặt) không đảm bảo tiêu chuẩn kỹ thuật, bên B được quyền yêu cầu bên A thay đổi;
b. Sau khi hợp đồng được ký kết, Bên B sẽ không hoàn trả lại phí đấu nối hòa mạng ban đầu đã thu của Bên A vì bất kỳ lý do nào nếu không phát sinh từ lỗi của bên B và Bên A không có quyền khiếu nại trong trường hợp này.
4.2 Nghĩa vụ của bên B
a. Cung cấp dịch vụ theo đúng nội dung đã thoả thuận theo Phụ lục đính kèm của hợp đồng này và đảm bảo chất lượng dịch vụ theo đúng các tiêu chuẩn đã đăng ký;
b. Giữ bí mật nội dung thông tin do Bên A truyền qua mạng và các thông tin khác mà Bên B có được trong quá trình làm việc với Bên A, trừ trường hợp đặc biệt theo quy định của Pháp luật;
c. Bảo đảm kênh thông tin kết nối cho Bên A trong suốt thời gian sử dụng. Nếu có sự cố kỹ thuật xảy ra do lỗi của Bên B; Bên B phải có biện pháp khắc phục trong thời gian 04 giờ (giờ làm việc) kể từ khi nhận được thông báo của Bên A,các trường hợp bất khả kháng do hai bên đàm phám quyết định;
d. Cung cấp cho Bên A hoá đơn thanh toán cước phí sử dụng các Dịch vụ theo qui định của pháp luật;
e. Hỗ trợ kỹ thuật khi có yêu cầu của Bên A (thời gian có mặt tại bên A không quá 60 phút);
f. Giải quyết các khiếu nại của Bên A theo đúng quy định của Pháp luật.

5.1 Nếu Bên A có nhu cầu tạm ngừng dịch vụ, Bên A phải thông báo bằng văn bả
