- Ngoại trừ các quy định về quyền của người đại diện theo pháp luật theo Điều 6.1 và 6.2 Điều lệ này, hai người đại diện theo pháp luật: (i) cùng ký tên trên tất cả các chứng từ, tài liệu, hợp đồng, báo cáo, … nhân danh Công ty; và (iii) cùng đồng ý ký chấp thuận các giao dịch giữa Công ty với đối tác, bên thứ ba trong phạm vi quyền và nghĩa vụ được giao đối với hoạt động kinh doanh của Công ty.
Người đại diện theo pháp luật thứ hai có quyền từ chối ký tên theo quy định tại Điểm e Điều 19.2 Điều lệ này.

- Có các nghĩa vụ tương ứng với từng chức danh quản lý trong Công ty mà người đại diện theo pháp luật đảm nhiệm;

- Người đại diện theo pháp luật của doanh nghiệp chịu trách nhiệm cá nhân đối với những thiệt hại cho doanh nghiệp do vi phạm nghĩa vụ quy định tại Điều này.
