Căn cứ vào khoản 1, Điều 13, Luật Doanh nghiệp năm 2005 thành lập công ty TNHH tại

Theo Nghị định 108/2006/NĐ-CP Quy định chi tiết và hướng dẫn thi hành một số điều

Điều 7. Thành lập tổ chức kinh tế 100% vốn của nhà đầu tư

1. Nhà đầu tư trong nước, nhà đầu tư nước ngoài được đầu tư theo hình thức 100% vốn để

thành lập công ty trách nhiệm hữu hạn, công ty cổ phần, công ty hợp danh, doanh nghiệp tư nhân

theo quy định của Luật Doanh nghiệp và pháp luật có liên quan.

2. Doanh nghiệp 100% vốn đầu tư nước ngoài đã thành lập tại Việt Nam được hợp tác

với nhau và với nhà đầu tư nước ngoài để đầu tư thành lập doanh nghiệp 100% vốn đầu tư nước

3. Doanh nghiệp 100% vốn đầu tư nước ngoài có tư cách pháp nhân theo pháp luật Việt

Nam, được thành lập và hoạt động kể từ ngày cấp Giấy chứng nhận đầu tư.

Hiện nay, thủ tục thẩm tra cấp Giấy chứng nhận đầu tư đối với ngành nghề kinh doanh có

điền kiện sẽ căn cứ vào quy mô vốn đầu tư của Dự án. Cụ thể như sau:

2. Đối với dự án đầu tư có quy mô vốn đầu tư từ 300 tỷ đồng Việt Nam trở lên và

thuộc lĩnh vực đầu tư có điều kiện:

Theo Điều 47, Nghị định 108/2006/NĐ-CP, hồ sơ thẩm tra đối với dự án đầu tư có quy mô

vốn đầu tư từ 300 tỷ đồng Việt Nam trở lên và thuộc lĩnh vực đầu tư có điều kiện là:

(i) Văn bản đề nghị cấp Giấy chứng nhận đầu tư (theo mẫu);

(ii) Văn bản xác nhận tư cách pháp lý của nhà đầu tư;

(iii) Báo cáo năng lực tài chính của nhà đầu tư (do nhà đầu tư lập và chịu trách nhiệm);

(iv) Giải trình kinh tế - kỹ thuật;

(v) Hợp đồng hợp tác kinh doanh đối với hình thức đầu tư theo hợp đồng hợp tác kinh

(vi) Giải trình khả năng đáp ứng điều kiện tham gia thị trường; và

Hồ sơ đăng ký kinh doanh tương ứng với mỗi loại hình tổ chức kinh tế theo quy định của

Điều 51. Thủ tục chuyển nhượng toàn bộ hoặc một phần dự án bất động sản

1. Chủ đầu tư gửi hồ sơ đề nghị chuyển nhượng toàn bộ hoặc một phần dự án đến Ủy ban

nhân dân cấp tỉnh nơi có dự án hoặc cơ quan được Ủy ban nhân dân cấp tỉnh ủy quyền.

2. Trong thời hạn 30 ngày kể từ ngày nhận đủ hồ sơ hợp lệ, Ủy ban nhân dân cấp tỉnh có

trách nhiệm ban hành quyết định cho phép chuyển nhượng, trường hợp không đủ điều kiện cho

phép chuyển nhượng thì phải thông báo bằng văn bản cho chủ đầu tư biết.
