Theo quy định của Luật Đầu tư 2014, các nhà đầu tư nước ngoài khi đầu tư vào Việt Nam, sau khi được chấp thuận chủ trương dự án đầu tư và được cấp giấy chứng nhận đăng ký đầu tư thì phải lập hồ sơ đăng ký thành lập pháp nhân mới để triển khai thực hiện dự án đầu tư tại Việt Nam. Pháp nhân này sẽ chịu trách nhiệm trước pháp luật về các hoạt động của mình tại Việt Nam.
