Về nguyên tắc chung HĐXX phúc thẩm gồm ba Thẩm phán và trong trường hợp cần thiết có thể có thêm hai Hội thẩm. Thực tiễn xét xử phúc thẩm trong những năm qua cho thấy trong các trường hợp Hội đồng xét xử phúc thẩm chỉ gồm ba Thẩm phán. Tuy nhiên, trong quá trình nghiên cứu hồ sơ vụ án, xét thấy vụ án phức tạp hoặc vụ án đối với người chưa thành niên phạm tội cần có thêm ý kiến của Hội thẩm thì báo cáo Chánh án hoặc người được Chánh án uỷ quyền quyết định thành lập Hội đồng xét xử phúc thẩm gồm ba Thẩm phán và hai Hội thẩm. Cần lưu ý là trường hợp này không thực hiện đối với các Toà phúc thẩm Toà án nhân dân tối cao và Toà án quân sự trung ương vì ở TANDTC và TAQSTW không có Hội thẩm.
