1. Phạm vi của những dịch vụ được thực hiện:
1.1 Bên B đồng ý bổ nhiệm Bên A làm tư vấn cho việc tư vấn về điều hành và kiểm soát hoạt động của Bên B và hỗ trợ cho Bên B ừiển khai hệ thổng cửa hàng bán lẽ.
1.2 Bên A đồng ý thực hiện những dịch vụ tư vấn trong phần 1.2 (a) đến (c) dưới đây cho Bên B trong thời hạn từ ngày 1/2/2012 đến ngày 31/5/2012:
(a) Thực hiện vai trò Trưởng Ban Kiểm soát cho Bên B.
(b) Thực hiện vai trò Phó Ban triển khai dự án cửa hàng bán lẻ cho Bên B.
(c) Hỗ trợ cho Bên B cải tạo nhân sự và tái cấu trúc tổ chức.

1.4 Trong trường hợp phát sinh những dịch vụ khác, Bên A và Bên B sẽ ký kết
phụ lục cho hợp đồng này hoặc thỏa thuận một hợp đồng dịch vụ tư vấn khác.

2. Phí dịch vụ, Thưởng và Phương Thức Thanh Tóan
2.1 Phí dịch vụ cho toàn công việc được mô tả trong phần 1 là VNĐ 146.250.000 cho các dịch vụ thực hiện từ ngày 1/2/1012 đến ngày 31/5/2012, chưa bao gồm thuế Giá Trị Gia Tăng (GTGT).
2.2 Bên B sẽ thanh toán tất cả các phí dịch vụ cho Bên A vào mỗi cuối tháng trong thời hạn hợp đồng này còn hiệu lực qua tài khoản:

2.3 Bên A có nhiệm vụ xuất hóa đơn tài chính cho Bên B sau khi nhận được các khoản phí dịch vụ.
3. Hiệu lực
3.1 Hợp đồng này có hiệu lực từ ngày ký cho đến ngày 31 tháng 5 năm 2012.
3.2 Vào thời điểm 1 tháng trước khi hợp đồng này kết thúc, Bên A và Bên B có thể bàn bạc gia hạn hợp đồng thông qua phụ lục hợp đồng này.
4. Bảo mật
4.1 Bên A và bên B cam kết bảo mật tất cả những thông tin liên quan đến hợp đồng này.
5. Tranh chấp
