Điều 1: Nội dung và phương thức hợp tác đầu tư.
1.1 Nội dung hợp tác đầu tư :
Bằng hợp đồng này, hai bên thỏa thuận cùng nhau hợp tác để thực hiện toàn bộ dự án Nhà máy sản xuất khăn bông cao cấp trên diện tích đất 06 Hecta tại xã Ngọc Lâm, huyện Mỹ Hào, tỉnh Hưng Yên.
1.2 Phương thức hợp tác đầu tư :
Hai bên thỏa thuận cùng nhau hợp tác đầu tư để thực hiện toàn bộ quyền và nghĩa vụ của các bên theo hợp đồng hợp tác đầu tư trên cơ sở không tạo ra một pháp nhân mới.
HOUEI có nghĩa vụ thực hiện đóng góp vốn đầu tư cho Công ty TNHH MTV sản xuất và Thương Mại Hưng Thành là : 922.000 USD (Chín trăm hai mươi hai nghìn USD) theo tiến độ quy định trong hợp đồng.
HOUEI có quyền được ưu tiên phân phối toàn bộ sản phẩm đầu ra của dự án khi hoàn thành hoặc trực tiếp tham gia điều hành sản xuất, phân phối sản phẩm của dự án nếu Công ty TNHH MTV sản xuất và Thương Mại Hưng Thành không đủ năng lực thực hiện.
HOUEI được phân chia lợi nhuận dự án theo kết quả hoạt động của dự án.
HOUEI được phân chia tài sản dự án theo tỷ lệ phần vốn tham gia vào dự án trong trường hợp dự án chấm dứt hoạt động.
Công ty TNHH MTV sản xuất và Thương Mại Hưng Thành có trách nhiệm tiếp nhận số vốn trên và sử dụng hiệu quả, đúng mục đích vào dự án mà hai bên hợp tác đầu tư.
Công ty TNHH MTV sản xuất và Thương Mại Hưng Thành có toàn quyền và không phải xin ý kiến HOUEI trong việc lựa chọn nhà thầu xây dựng, mua sắm máy móc thiết bị thực hiện dự án.
Công ty TNHH MTV sản xuất và Thương Mại Hưng Thành có nghĩa vụ thực hiện xây dựng hoàn thành dự án theo tiến độ đã cam kết.
Công ty TNHH MTV sản xuất và Thương Mại Hưng Thành có trách nhiệm phân chia lợi nhuận dự án theo kết quả hoạt động của dự án.
