k) Giám sát, kiểm tra, thanh tra việc chấp hành pháp luật; đánh giá việc thực hiện mục tiêu, nhiệm vụ được giao, kết quả hoạt động, hiệu quả sản xuất kinh doanh; quản lý, sử dụng, bảo toàn, phát triển vốn của công ty. Đánh giá Chủ tịch và thành viên Hội đồng thành viên, Kiểm soát viên, Tổng Giám đốc, Phó Tổng giám đốc, Kế toán trưởng Tập đoàn.
2. Nghĩa vụ của chủ sở hữu đối với Tập đoàn
a) Đầu tư đủ vốn điều lệ cho Tập đoàn;
b) Thực hiện đúng các quy định tại Điều lệ của Tập đoàn liên quan đến chủ sở hữu;
c) Chịu trách nhiệm về các khoản nợ và nghĩa vụ tài sản khác của Tập đoàn trong phạm vi số vốn điều lệ của Tập đoàn; xác định và tách biệt tài sản của chủ sở hữu nhà nước và tài sản của Tập đoàn;
d) Tuân thủ pháp luật khi phê duyệt chủ trương đầu tư, mua, bán tài sản và hợp đồng vay, cho vay, thuê và cho thuê theo thẩm quyền của Tập đoàn;
đ) Bảo đảm quyền kinh doanh theo pháp luật của Tập đoàn;
e) Thực hiện các nghĩa vụ khác theo quy định của pháp luật.
Điều 11. Phân công thực hiện quyền và trách nhiệm của chủ sở hữu
1. Quyền, trách nhiệm của Chính phủ:
a) Ban hành Điều lệ, sửa đổi và bổ sung Điều lệ tổ chức và hoạt động của Tập đoàn;
b) Thực hiện các quyền, trách nhiệm khác theo quy định của pháp luật.
2. Quyền, trách nhiệm của Thủ tướng Chính phủ:
a) Quyết định thành lập, mục tiêu, nhiệm vụ và ngành, nghề kinh doanh của Tập đoàn; tổ chức lại, chuyển đổi sở hữu, giải thể và yêu cầu phá sản Tập đoàn theo đề nghị của Bộ Nông nghiệp và Phát triển nông thôn và ý kiến tham gia của các Bộ: Tài chính, Nội vụ, Lao động - Thương binh và Xã hội, ý kiến thẩm định của Bộ Kế hoạch và Đầu tư;
b) Quyết định điều chỉnh vốn điều lệ trong quá trình hoạt động của Tập đoàn theo đề nghị của Bộ Nông nghiệp và Phát triển nông thôn, ý kiến của Bộ Kế hoạch và Đầu tư, ý kiến thẩm định của Bộ Tài chính;
c) Quyết định bổ nhiệm, bổ nhiệm lại, miễn nhiệm, từ chức, khen thưởng và kỷ luật Chủ tịch Hội đồng thành viên của Tập đoàn theo đề nghị của Bộ Nông nghiệp và Phát triển nông thôn và ý kiến thẩm định của Bộ Nội vụ;
d) Phê duyệt Đề án thành lập công ty con 100% vốn nhà nước. Phê duyệt chủ trương thành lập, tổ chức lại, giải thể chi nhánh, văn phòng đại diện và các đơn vị hạch toán phụ thuộc khác trên cơ sở đề nghị và thẩm định của Bộ Nông nghiệp và Phát triển nông thôn, ý kiến của các Bộ: Tài chính, Kế hoạch và Đầu tư, Nội vụ, Lao động - Thương binh và Xã hội;
đ) Phê duyệt chiến lược, kế hoạch sản xuất kinh doanh và kế hoạch đầu tư phát triển 5 năm của Tập đoàn theo đề nghị của Bộ Nông nghiệp và Phát triển nông thôn, ý kiến của Bộ Tài chính và thẩm định của Bộ Kế hoạch và Đầu tư;
e) Phê duyệt Đề án tổng thể sắp xếp, đổi mới Tập đoàn theo đề nghị của Bộ Nông nghiệp và Phát triển nông thôn và ý kiến của các Bộ: Tài chính, Kế hoạch và Đầu tư, Nội vụ, Lao động - Thương binh và Xã hội.
3. Quyền, trách nhiệm của Bộ Nông nghiệp và Phát triển nông thôn:
Bộ Nông nghiệp và Phát triển nông thôn là cấp trên trực tiếp của Hội đồng thành viên Tập đoàn có các quyền, trách nhiệm sau:
a) Quyết định bổ nhiệm, bổ nhiệm lại, miễn nhiệm, từ chức, khen thưởng, kỷ luật thành viên Hội đồng thành viên, Tổng Giám đốc, Kiểm soát viên chuyên ngành của Tập đoàn;
b) Quyết định lương của Chủ tịch và thành viên Hội đồng thành viên, Tổng Giám đốc, Kiểm soát viên chuyên ngành, quỹ lương hằng năm của viên chức quản lý sau khi có ý kiến thỏa thuận của Bộ Lao động - Thương binh và Xã hội;
c) Phê duyệt danh mục các dự án đầu tư nhóm A, B hằng năm và thông báo Bộ Kế hoạch và Đầu tư, Bộ Tài chính để tổng hợp, giám sát;
