- Căn cứ Bộ Luật Dân Sự sổ 33/2005/QHỈ1 được Quốc Hội ban hành ngày 14/06/2005 và có hiệu lực thỉ hành từ ngày 01/01/2006.
- Căn cứ Luật Thương Mại so 36/2005/QHỈỈđược Quốc hội ban hành ngày 14/06/2005 và cổ hiệu lực thỉ hành từ ngày 01/01/2006.
- Căn cứ vào nhu cầu, khả năng và thỏa thuận của hai bên.

Sau khi bàn bạc, hai bên đã thống nhất ký kết họp đồng với các điều khoản sau:

ĐIÈU 1 : NỘI DUNG HỢP ĐỒNG
1.1. Bên B cung cấp dịch vụ trồng cây cho Bên A theo đơn giá và số lượng chi tiết theo file đính kèm.( bảng báo giá B.OQ)
- Giá trị Hơp đồng trên đã bao gồm chi phí bảo dưỡng, bảo hành chăm sóc trong vòng 60 ngày kể từ khi hoàn tất các hạng mục quy định tại Khoản 1.1 Điều 1 của Hợp đồng.
- Bên B thiết kế hình ảnh 3D gửi cho bên A duyệt trước khi thi công.
- Khối lượng trong họp đồng là tạm tính, khối lượng chính xác sẽ được xác định theo thực tế thi công và nghiệm thu.
- Thòi gian thực hiện:
Bên B thực hiện hoàn tất trồng cây xanh cho Bên A theo các hạng mục tại Khoản 1.1 Điều 1 Hợp đồng này trong vòng 30 ngày kể từ ngày ký Họp đồng.
- Chăm sóc bảo dưỡng cây :
3. Gội chăm sóc bảo dưỡng bao gồm việc kiểm tra, chăm sóc, tưới nước hằng ngày, bảo dưỡng, bảo hành hết 60 naày.
4. ĐIÈU 2: ĐIÈƯ KIỆN VÀ PHƯƠNG THỨC THANH TOÁN
1.2. Điều kiện thanh toán:
Hai bên thực hiện ký chứng thư ngân hàng bảo lãnh ( Ngân hàng BIDV chi nhánh Phú Mỹ, Tân Thành - BRVT) trị giá 30% giá trị hợp đồng.
Bên A thực hiện thanh toán cho Bên B thành 04 đợt như sau:
5. Đợt 1: Thanh toán 30% giá trị họp đồng tương đương 270.599.999 đồng (Hai trăm
bảy mưoi triệu năm trăm chín trăm chín mưoi chín nghìn chín trăm chín mươi chín đồng) ngay sau khi hai Bên ký hợp Hợp đồng và bắt đầu thực hiện các công việc liên quan.
6. Đợt 2 : Thanh toán 30% giá trị hợp đồng tương đương 270.599.999 đồng (Hai trăm bảy mươi triệu năm trăm chín trăm chín mươi chín nghìn chín trăm chín mươi chín đồng) sau khi đã hoàn thành xong phần đổ đất và tạo mặt bằng.
• - Đợt 3: Thanh toán phần 30% giá trị thực hiện của hợp đồng tương đượng 270.599.999 đồng (Hai trăm bảy mươi triệu năm trăm chín trăm chín mươi chín nghìn chín trăm chín mươi chín đồng) sau khi hoàn thành tất cả các hạng mục tại khoản 1.1 Điều 1 của hợp đồng vào có biên bản nghiệm thu xác nhận khối lượng thực hiện của hai Bên.
7. Đợt 4: Thanh toán số còn lại 10% giá trị hợp đồng tương đương 90.199.999 đồng (Chín mươi triệu một trăm chín trăm chín mươi chín nghìn chín trăm chín mưoị chín đồng) sau khi hoàn thành tất cả các hạng mục tại khoản 1.1 Điều 1 của hợp đồng và có biên bản nghiệm thu công tác trồng, chăm sóc bảo dưỡng sau 60 ngày.
2.2. Phương thức thanh toán: Chuyển khoản vào tài khoản của Bên B
ĐIÈU 3: TRÁCH NHIỆM CỦA CÁC BÊN Trách nhiệm bên A:
8. ^ Thanh toán đầy đủ số tiền cho Bên B như thỏa thuận Quy định tại Điều 2 của Hợp đồng này.
9. Cung cấp đầy đủ điện, nước để đủ tưới cây. Nếu không cung cấp cấp đủ nước cho Bên B tưới cây dẫn đến cây chết thì bên A phải chịu hoàn toàn trách nhiệm.



- Phải xử lý rác do Bên B trong thời gian chăm sóc bảo dưỡng khi đã thu gom về đúng nơi quy định của Bên A.
- Phải đảm bảo an ninh không để mất cây xanh (Nếu mất cây thì Bên A phải chịu trách nhiệm)
- Bên A có quyền đơn phương chấm dứt hơp đồng nếu Bên B vi phạm các điều khoản đã cam kết trong hợp đồng.
10. Trách nhiệm bên B:
- Bên B cung cấp sản phẩm đúng như mẫu, thời gian triển khai mà hai Bên đã thống
nhât.
- Thực hiện đúng nội dung họp đồng như đã cam kết của hai Bên.
Bên B chịu trách nhiệm cung cấp, vận chuyển, chăm sóc, bảo hành cây trong 60 ngày.
- Có quyền đon phương chấm dứt hợp đồng nếu Bên A vi phạm các điều khoản đã cam kết trong hợp đồng.
- Thu gom rác về đúng nơi quy định của Bên A.
- Trừ trường họp bất khả kháng sẽ được bàn bạc kỹ với sự thỏa thuận giữa hai bên.
- bên B chăm sóc bảo dưỡng cây trong 60 ngày, nếu cây nào bị chết phải có trách nhiệm thay thế ngay.
- Bên B có trách nhiệm xuất đầy đủ hóa đơn Tài chính hợp lệ và văn bản có liên quan đê Bên A làm thủ tục thanh toán.
