Article 1.
The Participant agrees to receive confidential information from Representative Office of Gazprom EP International Services B.V. in Ho Chi Minh City (RO), address: 12th floor, Petro Vietnam Tower, 1-5 Le Duan, Ben Nghe Ward, District 1, Ho Chi Minh City, Vietnam, with respect to procurement activities for vehicles (two Toyota HIACE).


The purpose of providing the Information is to enable Participant to make a bid for one or more contracts in its area of expertise, and to implement such contracts in case chosen as contractor. The Information may be provided in any form, orally or in writing.

Article 2.
The Participant will treat confidentially all Information provided to it by RO or by persons authorized by RO, and will refrain from disclosing it to third parties.

Article 3.
The Participant will disclose the Information exclusively to its employees and potential subcontractors to the minimum extent necessary in order that such parties realize the above mentioned goal. The Participant will integrally impose its duty of confidentiality on these employees and potential subcontractors. Such parties will sign a duly adjusted copy of this statement.

Article 4.
The Participant is obliged to treat the Information confidentially for a period of 10 years after the date of disclosure of such Information, or until the date when the Information has become public for a reason other than the Participant’s negligence or wilful acts. Participant is not obliged to keep Information confidential with respect to which it can demonstrate in a way satisfactory to RO that it was already available to the public or to Participant before the date of receipt of such Information from RO, or the date of obtaining it from a third party who was not under a duty of confidentiality.

Article 5.
The Participant shall not use the Information either in a changed or an unchanged form, for any other purpose than described above, without prior written approval of RO.

Article 6.
RO is entitled to decide at any moment to cease providing further Information and to request the returning of all Information already provided. In such a situation, or if no contract is signed between the Participant and RO for the purpose described in Article 1, until 7st October 2015, or if such contract is terminated, the Participant will immediately stop using the already provided Information, and return all Information to RO which was provided in a written format. The contents of this Article notwithstanding, this Statement is issued for an indefinite period and cannot be revoked.

Article 7.
In case the Participant does not meet its obligations under this Statement either fully or partially, it shall pay to RO an immediately due penalty of EUR 10,000 for each such breach, without prejudice to RO’s rights to full compensation of damages.

Article 8.
Any disputes arising from this Statement shall be finally settled before the People’s Court of Ho Chi Minh City, the Socialist Republic of Vietnam.
