Điều 8: Quyền và nghĩa vụ của chủ đầu tư
8.1. Quyền của chủ đầu tư
a) Tạm ngừng thi công xây dựng Công trình và yêu cầu khắc phục hậu quả khi Nhà thầu vi phạm các quy định về chất lượng Công trình, an toàn lao động, vệ sinh môi trường và phòng chống cháy nổ, an ninh trật tự.
b) Kiểm tra chất lượng thực hiện công việc của Nhà thầu nhưng không được làm cản trở hoạt động bình thường của Nhà thầu.
c) Các quyền khác được quy định trong Hợp đồng này cũng như các quy định của Pháp luật.
d) Các quyền khác theo quy định của Pháp luật.
8.2. Nghĩa vụ của Chủ đầu tư
a) Cung cấp kịp thời hồ sơ thiết kế và các tài liệu có liên quan, vật tư (nếu có) theo thoả thuận trong Hợp đồng và quy định của pháp luật có liên quan.
b) Bàn giao mặt bằng xây dựng cho Nhà thầu quản lý, sử dụng phù hợp với tiến độ và các thoả thuận của Hợp đồng.
c) Tổ chức thực hiện giám sát thi công và nghiệm thu và các quy định khác có liên quan của pháp luật.
d) Bố trí đủ nguồn vốn để thanh toán cho Nhà thầu theo tiến độ thanh toán trong Hợp đồng;
e) Xem xét và chấp thuận kịp thời bằng văn bản các đề xuất liên quan đến thiết kế, thi công của Nhà thầu trong quá trình thi công xây dựng công trình. Kịp thời giải quyết các vướng mắc trong quá trình thi công;
f) Bố trí cán bộ giám sát kịp thời xử lý kiểm tra, xác nhận mẫu vật tư Nhà thầu cung cấp đến tại hiện trường, ký và xác nhận khối lượng công việc, biên bản nghiệm thu tại hiện trường, Ký và xác nhận khi Nhà thầu trình ký hồ sơ trong vòng 24h;
g) Thanh toán cho Nhà thầu đúng thỏa thuận trong hợp đồng;
Điều 9: Quyền và nghĩa vụ của nhà thầu
9.1. Quyền của nhà thầu
a) Đề xuất với Chủ đầu tư về khối lượng phát sinh ngoài Hợp đồng; từ chối thực hiện công việc ngoài phạm vi Hợp đồng khi chưa được hai bên thống nhất và những yêu cầu trái pháp luật của Chủ đầu tư;
b) Được thay đổi các biện pháp thi công sau khi được Chủ đầu tư chấp thuận nhằm đẩy nhanh tiến độ, bảo đảm chất lượng, an toàn, hiệu quả công trình trên cơ sở giá Hợp đồng đã ký kết.
c) Dừng và đình chỉ thi công khi chưa nhận được tiền tạm ứng, thanh toán kịp thời theo yêu cầu của hợp đồng; Tạm dừng thi công và không tính thời gian tiến độ thi công khi không được Chủ đầu tư nghiệm thu và xác nhận khối lượng kịp thời của cán bộ giám sát Chủ đầu tư (Kể từ thời gian gửi Công văn thông báo cho Chủ đầu tư).
d) Yêu cầu Chủ đầu tư tạo mọi điều kiện về mặt bằng thi công;
e) Đề xuất và kiến nghị trực tiếp với Đại diện Chủ đầu tư khi điều kiện thi công không đảm bảo cho Nhà thầu thực hiện tại hiện trường, thanh quyết toán không đúng thời gian để đẩy nhanh tiến độ thi công.
f) Yêu cầu Ban chỉ huy Công trình liên lạc và kết nối liên tục với Chủ đầu tư trong thời gian thi công,
9.2. Nghĩa vụ của nhà thầu
a) Nhà thầu phải cung cấp nhân lực, vật liệu, máy móc, thiết bị thi công và các điều kiện vật chất liên quan khác đủ số lượng và chủng loại theo Hợp đồng để thực hiện các công việc theo nội dung Hợp đồng đã ký kết;
b) Nhà thầu phải thi công xây dựng công trình đúng thiết kế, tiêu chuẩn dự án, quy chuẩn, tiêu chuẩn xây dựng, bảo đảm chất lượng, tiến độ, an toàn, bảo vệ môi trường và phòng chống cháy nổ;
c) Nhà thầu phải lập biện pháp tổ chức thi công, ghi nhật ký thi công xây dựng công trình, lập hồ sơ thanh toán, lập hồ sơ hoàn công, lập quyết toán Hợp đồng, theo đúng quy định của Hợp đồng;
d) Lên kế hoạch và thông báo trước 24h cho Chủ đầu tư những việc liên quan trong quá trình thi công mà Nhà thầu cần Chủ đầu tư phải bố trí cán bộ làm ngoài giờ, trực đêm.
e) Tự bố trí lán trại, điện, nước để thi công đúng tiến độ;
f) Thanh toán phí sử dụng điện, nước,... trong quá trình thi công xây dựng của Nhà thầu theo quy định hoặc thỏa thuận giữa các bên.
g) Bảo vệ tài sản, vật liệu, máy móc và thiết bị thi công trong suốt quá trình thi công xây dựng đến khi hoàn thành nghiệm thu và bàn giao cho Chủ đầu tư.
9.3. Nhân lực của nhà thầu
Nhân lực của Nhà thầu phải có trình độ chuyên môn, kỹ năng và kinh nghiệm phù hợp về nghề nghiệp, công việc của họ. Chủ đầu tư có thể yêu cầu Nhà thầu thay thế bất cứ nhân lực nào của Nhà thầu ở công trường nếu những người đó: có thái độ sai trái hoặc thiếu cẩn thận; thiếu năng lực hoặc bất cần; không tuân thủ bất kỳ điều khoản nào của Hợp đồng.
9.4. Điều kiện về công trường
Nhà thầu được coi là đã thẩm tra và xem xét công trường, khu vực xung quanh công trường, các số liệu và thông tin có sẵn nêu trên, và đã được thoả mãn trước khi nộp thầu, bao gồm:
a) Địa hình của công trường, bao gồm cả các điều kiện địa chất công trình;
b) Điều kiện địa chất thuỷ văn và khí hậu;
c) Mức độ và tính chất của công việc và vật liệu cần thiết cho việc thi công, hoàn thành công trình;
d) Các quy định của pháp luật về lao động;
e) Các yêu cầu của Nhà thầu về đường vào, ăn, ở, phương tiện, nhân lực, điều kiện giao thông, điện, nước và các dịch vụ khác.
Nhà thầu được coi là đã thoả mãn về tính đúng và đủ của điều kiện công trường để xác định giá hợp đồng.
9.5. Đường đi và phương tiện

Article 9: The rights and obligations of the Contractor
9.1. The right of the contractor
