Tháng 07 năm 2014, Bên A (Bên mua) phát hiện các lô hàng nhập khẩu từ Bên B (Bên bán) có sản phẩm VALVE 2671-0171 (Chốt bán thành phẩm bằng thép đã được định hình – dùng để sản xuất bộ phận đóng mở van ga ô tô) không đạt chất lượng do một số sản phẩm có ren bị cấn mẻ (kèm theo hình vẽ).

Các lô hàng có sản phẩm VALVE 2671-0171 Bên B đã xuất bán cho Bên A:


Bên A phát hành các Invoice: V14-07-02, V14-07-15 & V14-07-22 trả lại cho Bên B các sản phẩm bị lỗi với phương thức Tạm nhập tái xuất, không thanh toán. Trong quá trình Bên B kiểm tra, sửa chữa lại sản phẩm VALVE 2671-0171 nhận thấy lô hàng trên không thể sữa chữa để tái xuất cho Bên A kịp tiến độ . Nên hai bên cùng thống nhất thỏa thuận hình thức thanh toán như sau:

- Bên B phải thanh toán cho Bên A toàn bộ các chi phí vận chuyển phát sinh tại Nhật Bản có liên quan đến các lô hàng trên (chi phí nhận hàng tại Nhật và gửi trả hàng về Việt Nam) và chi phí kiểm tra sản phẩm bị lỗi tại Nhật theo bảng kê chi tiết sau:

- Tổng số tiền Bên B sẽ thanh toán cho Bên A là: JPY 2.103.352 (Hai triệu một trăm lẻ ba nghìn ba trăm năm mươi hai Yên Nhật).
- Lý do: Bên B đã không kịp tiến độ tái xuất hoàn trả lại các lô hàng trên cho Bên A.
Điều 2: HÌNH THỨC THANH TOÁN
Bên A sẽ cấn trừ công nợ phải trả tháng 8 năm 2014 và cấn trừ kỳ thanh toán tháng 9 năm 2014 của Bên B với tổng số tiền: JPY 2.103.352 (Hai triệu một trăm lẻ ba nghìn ba trăm năm mươi hai Yên Nhật).
Điều 3: ĐIỀU KHOẢN CHUNG
1. Hai bên cam kết thực hiện đúng các điều khoản đã ghi trong biên bản thỏa thuận này.
2. Trong quá trình thực hiện nếu có vấn đề phát sinh cần giải quyết thì hai bên phải chủ động thông báo cho nhau và cùng nhau giải quyết trên cơ sở thương lượng. Trường hợp tranh chấp mà hai bên không tự giải quyết được thì cả hai bên đều thống nhất và đưa vụ việc ra toà án kinh tế Tp. Hồ Chí Minh để giải quyết. Quyết định của toà án là quyết định cuối cùng buộc hai bên phải chấp hành. Các chi phí kiểm tra, xác minh và lệ phí toà án sẽ do bên thua chịu.
3. Biên bản thỏa thuận này được lập thành 04 bản (02 bản tiếng Anh và 02 bản bằng tiếng Việt) có giá trị như nhau về mặt pháp lý, mỗi bên liên quan giữ 02 bản (01 bản tiếng Anh và 01 bản bằng tiếng Việt) để làm cơ sở thực hiện.
4. Biên bản thỏa thuận này có giá trị kể từ ngày ký .

Article 2: PAYMENT

Article 3: GENERAL TERMS
