This Principle Agreement (hereinafter the “PA”) is made on November 2015 (the “Effective Date”) by and between the following parties:

(1) The Shinihon Infrastructure Investment Corp, represented by the Mr. HUYNH PHONG VU, Chief Executive Officer,with its office registered atUnit 5, the 8th Floor, Le Méridien Saigon, 3C Ton Duc Thang street, District 1., Ho Chi Minh City, Vietnam
(Hereinafter called as Party A)

And

(2) ………………………………………….represented by the Mr…………../……… with its office registered at………………….., Ho Chi Minh City, Vietnam
(Hereinafter called the Party B),


1. Purpose

The purpose of this PA is made between the parties in order to reach an agreement on the investment terms of cooperation in detail the terms and conditions of business for the construction project of Phuoc An Bridge, BariaVungtau province, Vietnam.The Investment Format shall be BT/PPP format

2. Subject of PA

2.1 The parties shall ensure implementation of the project consisting of procuring investment license and approval, raising finance funds, construction and transfer the Phuoc An bridge in exchange of prime land funds of BariaVungtau province with or without partially repayment in cash (the “Project”);

2.2 The Annex to this PA contains a description of the bridge to be constructed, including the following information about the Project:
(a) Location;
(b) Capacity;
(c) Size of required investment and the approximate recovery term;
(d) Terms of obtaining construction permits, commencement of construction and commencement of operations;
(e).

3. Rights and Obligations of the Parties

3.1 For the purposes of implementation of the Project, subject to the terms of this PA and the applicable legislation, the Party A shall:

(a)promote the Project by means of contacting, presentation to get principle approval for investment study from BariaVungtau Province, Socialist Republic of Vietnam. And, coordinate with Party B to promote the investment approval from the Government and relevant central agencies of the Socialist Republic of Vietnam

(b) join the investment studies and design studies after the principle approval for investments studies obtained from the Government and BariaVungtau;

(c) establish the Project Company and be the leader who holds majority shareholder of 70% of the Project Company after the Government and BariaVungtau approved the Investment

(d) arrange finance funds from Japan and Vietnam to implement the Project in the format of BT/PPP;


3.2 For the purposes of implementation of the Project, subject to the terms of this PA and the applicable legislation, the Party B shall:

(a) promote the Projecct by means of contacting, presentation to get principle approval and final approval for investment in format of PPP/BT from the Government of Socialist Republic of Vietnam;

(b) join the establishment of the Project company and be the founding member of the Project Company and hold 10% of share of the Project Company;

(c) contribute the corporate profile on construction of mega infrastructure projects, especially the track records of constructing large scale bridges in Vietnam. The corporate profiles of Party B shall be used during the investment promoting time with central Government and BariaVungtau province;


4. Effectiveness of the PA and its Termination

4.1 This PA shall enter into force from the moment of its execution and shall remain in full force and effect until the Project Company established;

4.2 The PA may be terminated in accordance with the mutual agreement.

5. Amendments

This PA may be amended by written agreement of the parties. If any provision of this PA becomes invalid or unenforceable, the validity of other provisions shall not be affected.

6. Confidentiality

In order to ensure the safety of clients, all parties to the Principle Agreement agree to adhere to the confidentiality expectations as outlined in the Grant Agreement.

The designated lead agency accepts full responsibility for the performance of the collaborative organizations/agencies.
