Các chuyên gia kinh tế khuyến cáo, Việt Nam cần thận trọng hơn với các hoạt động M&A có yếu tố nước ngoài. Hiện hoạt động M&A có yếu tố nước ngoài xảy ra nhiều nhất ở lĩnh vực tài chính, ngân hàng, bất động sản, chứng khoán và bán lẻ. Đặc biệt, xu hướng M&A sẽ diễn ra theo khuynh hướng mua lại các dự án hoặc biến các doanh nghiệp tư nhân thua lỗ, phá sản thành những công ty con của các công ty mẹ có vốn nước ngoài, nhằm khai thác lợi thế về đất đai, thuế hoặc các ưu thế vượt trội nào đó mà các doanh nghiệp tư nhân đang nhận được. Điều đó tiềm ẩn nhiều rủi ro như đã kể trên. Do đó chúng ta thực sự cần có những giải pháp hiệu quả để tận dụng những lợi thế cũng như hạn chế những rủi ro xunh quanh các thương vụ Mua lại và Sáp nhập.
