Sau khi bàn bạc, chúng tôi thống nhất các điểm sau:
1. Bên A và Luật sư Vũ Mạnh Hòa đã làm việc và xin ý kiến của Ngân hàng Nhà nước Việt Nam – Chi nhánh Tp.HCM về việc bên A và bên B cùng hợp tác đầu tư dự án TRƯỜNG ĐẠI HỌC QUỐC TẾ MEKONG (định hướng Công nghệ Xanh) - Khu đô thị Tây Bắc Củ Chi, xã Tân Thông Hội, huyện Củ Chi, Tp.HCM.
2. Theo hướng dẫn của Ngân hàng Nhà nước Việt Nam – Chi nhánh Tp.HCM, để các khoản vay được nhanh chóng thực hiện, chặt chẽ về pháp lý và phù hợp với quy định Việt Nam, bên A và bên B thống nhất chuyển từ hình thức Hợp tác đầu tư sang thành Hợp đồng vay vốn.
3. Các điều kiện khác của Hợp đồng Hợp tác đầu tư sẽ không thay đổi. Giữ nguyên tỉ lệ phân chia lợi nhuận: Bên A 65% (sáu mươi lăm phần trăm) bên B 35% (ba mươi lăm phần trăm).
4. Hai bên thống nhất nâng mức đầu tư lên từ 45.000.000.000.000 VNĐ (Bốn mươi năm nghìn tỷ đồng) tương đương với 2.000.000.000 USD (hai tỷ đô la Mỹ) thành 66.000.000.000.000 VNĐ (Sáu mươi sáu nghìn tỷ đồng) tương đương với 3.000.000.000 USD (ba tỷ đô la Mỹ).
5. Hợp đồng cho vay giữa bên A và bên B chỉ là hình thức chuyển đổi từ Hợp đồng Hợp tác đầu tư sang Hợp đồng vay vốn, về tính chất của việc Hợp tác và nghĩa vụ của các bên không thay đổi.
6. Phụ lục này được công nhận là một phần không thể tách rời của Hợp đồng Hợp tác đầu tư số 01/HĐHTĐT/PT-NWI/2016 ký ngày 19/05/2016. Sau khi hoàn tất trả lại phần của bên B, hai bên sẽ thực hiện các phụ lục tiếp để quy định từng việc cụ thể.
7. Phụ kiện này là cơ sở pháp lý để chuyển đổi từ Hợp đồng Hợp tác đầu tư số 01/HĐHTĐT/PT-NWI/2016 thành một Hợp đồng Vay vốn khác.
8. Phụ lục Hợp đồng này được lập thành 03 (ba) trang và 05 (nănm) bản, mỗi bên giữ 02 (hai) bản, văn phòng luật sư Quang Trung giữ 01 bản, có hiệu lực từ ngày ký.
