Thứ nhất là qui định về cấp Giấy chứng nhận đăng ký kinh doanh cho dự án đầu tư có vốn nước ngoài
So với Luật cũ thì Luật Đầu tư 2014 đã tách bạch giữa nội dung đăng ký dự án đầu tư là cấp theo Giấy chứng nhận đăng ký đầu tư. Sau khi được cấp Giấy chứng nhận đầu tư doanh nghiệp sẽ đăng ký kinh doanh theo qui định của Luật Doanh nghiệp điều chỉnh.
Thứ hai là thu hẹp phạm vi áp dụng cấp giấy chứng nhận đăng ký đầu tư đối với nhà đầu tư nước ngoài.
Theo Luật Đầu tư 2005 tất cả các dự án có vốn nước ngoài không xác định tỷ lệ của nhà đầu tư nước ngoài (dù nhà đầu tư nước ngoài chỉ chiếm 1% vốn điều lệ) của doanh nghiệp vẫn phải cấp Giấy chứng nhận đầu tư. Nhưng đến với Luật Đầu tư 2014 thì qui định đối với các dự án nhà đầu tư nước ngoài hoặc doanh nghiệp có vốn đầu tư nước ngoài góp vốn 51% vốn điều lệ mới phải xin Giấy chứng nhận đăng ký đầu tư đối với dự án của nhà đầu tư nước ngoài. Qui định này đã hỗ trợ đáng kể và nới rộng phạm vi đầu tư cho người nước ngoài tại Việt Nam.
