 Hạn chế lợi nhuận ròng: cổ tức phải được chi trả từ lợi nhuận ròng hiện nay và trong thời gian qua, đòi hỏi một doanh nghiệp phải phát sinh lợi nhuận trước khi được phép chi trả cổ tức tiền mặt. Nhằm ngăn chặn doanh nghiệp dùng vốn đầu tư ban đầu để chi trả cổ tức, làm suy yếu vị thế an toàn của chủ nợ
