Bài thảo luận tập trung nghiên cứu các quy định của pháp luật về các phương thức giải quyết tranh chấp nội bộ công ty dựa trên lý luận về tranh chấp nội bộ công ty, rà soát các quy định pháp luật về giải quyết tranh chấp nội bộ công ty cổ phần, khảo sát thực tiễn thực hiện pháp luật để giải quyết tranh chấp.

Phạm vi nghiên cứu là các quy định của pháp luật doanh nghiệp, thương mại có liên quan đến giải quyết tranh chấp nội bộ công ty theo sự điều chỉnh của Luật Doanh nghiệp 2014, không đi sâu vào các lĩnh vực chuyên ngành khác như chứng khoán, đầu tư, ngân hàng…; các quy định của pháp luật doanh nghiệp, thương mại cũng chỉ được tập trung nghiên cứu ở một số nhóm tranh chấp phổ biến, điển hình, không đi sâu vào các công ty có yếu tố nước ngoài. Về phương thức giải quyết tranh chấp nội bộ công ty cổ phần,bài tiểu luận chỉ tập trung nghiên cứu trong phạm vi khảo sát là các tranh chấp nội bộ công ty cổ phần được giải quyết bằng thủ tục tố tụng tại tòa án, lý do là với điều kiện thực tế hiện nay tại Việt Nam, tranh chấp nội bộ công ty cổ phần chủ yếu được giải quyết bằng con đường Tòa án.

Để thực hiện tiểu luận này chúng tôi đã sử dụng phối hợp nhiều phương pháp nghiên cứu khoa học khác nhau như phương pháp lịch sử, phân tích, so sánh, chứng minh, tổng hợp. Bên cạnh đó, trong quá trình nghiên cứu, chúng tôi sử dụng phương pháp phân tích các tình huống cụ thể kết hợp với phương pháp tổng kết thực tiễn để hoàn thành .
