Nhìn lại từ cuộc khủng hoảng kinh tế Mỹ năm 2008, những ảnh hưởng mạnh mẽ của nó tới toàn thế giới nói chung đã làm nền kinh tế Việt Nam bị ảnh hưởng trước những biến động tiêu cực. Trong bối cảnh đó, hệ thống NHTM đã bộc lộ nhiều yếu kém như: tỷ lệ nợ xấu ở mức cao, tính thanh khoản kém, năng lực quản trị điều hành hạn chế, rủi ro tín dụng cao. Từ thực tế đó, vấn đề bức thiết được đặt ra là tái cấu trúc hệ thống NHTM nhằm giải quyết những vấn đề còn tồn tại, đảm bảo an toàn hệ thống, tăng trưởng bền vững trong bối cảnh chung của nền kinh tế thế giới đầy biến động.
