WTO là một tổ chức liên chính phủ.Cơ quan cao nhất của WTO là hội nghị bộ trưởng các nước thành viên - nơi thực hiện tất cả các chức năng của của WTO, quyết định mọi biện pháp cần thiết để thực hiện chức năng đó . Hội nghị Bộ trưởng còn quyết định tất cả các vấn đề trong khuôn khổ hiệp định, thỏa thuận đa phương WTO và họp ít nhât một lần trong 2 năm.
WTO được xây dựng trên cơ sở 4 nguyên tắc : nguyên tắc đãi ngộ tối huệ quốc ; nguyên tắc đãi ngộ quốc,nguyên tắc tiếp cận thị trường( mở cửa thị trường) và nguyên tắc cạnh tranh công bằng
Để trở thành thành viên của WTO, một nền kinh tế phải được 2/3 số phiếu ủng hộ. Nghị định thư phê chuẩn việc kết nạp thành viên mới sẽ có hiệu lực sau 30 ngày từ khi quốc hội của nước thành viên mới phê duyệt.Điều quan trọng nhất để thành thành viên của WTO là phải được công nhận nền kinh tế thị trường
