- Căn cứ bộ luật dân sự của nước CHXHCN Việt Nam số 33/2005/QH11.

- Căn cứ luật Thương mại số 36/2005/QH11 ngày 14-06-2005.

- Căn cứ vào sự thỏa thuận và thống nhất của hai Đơn vị ký kết hợp đồng.

Sau khi bàn bạc, hai Bên đồng thống nhất ký kết Hợp đồng Kinh tế để mua hàng hóa

với những nội dung được thể hiện trong các điều khoản như sau:

ĐIỀU I : NỘI DUNG CÔNG VIỆC

- Bên A đồng ý bán cho bên B lô hàng gỗ Trắc theo quy cách dưới đây:

Trọng lượng qui đổi : 1mét khối gỗ trắc = 1,300kg (một ngàn ba trăm Kg)

- Đơn giá , quy cách , số lượng , chất lượng trên đã bao gồm các khoản thuế và phí của

lô hàng. Hai bên cùng thống nhất không thay đổi cho đến khi gỗ được giao cho bên B.

- Gỗ có dính giác góc nhưng không quá 5cm (5 centimeters) (không ôm giác), không

rỗng ruột, không mục, không cháy, không mắt chết, công vênh không quá 17 độ, có

răn nứt nhỏ (nức gió), chiều dài vết răn không quá 5cm (5 centimeters), chiều rộng

vết nức không quá 0,5cm (0.5 centimeters) tính từ hai đầu. Giác mặt, giác cạnh mỗi

cạnh cho phép 3%; nứt toét hai đầu mỗi đầu không quá 5% cho lượng hàng, tỷ lệ rác

từ 3_5% (không vượt quá 5%). Bên Mua được quyền lựa hàng theo tiêu chuẩn trên.

Hàng không đạt yêu cầu được bỏ qua.

- - Cách tính khối lượng gỗ: chiều Dài x chiều Rộng x chiều Dầy của mỗi miếng

- Nghiệm thu số lượng và chất lượng gỗ 100%.

- Bên B cử đại diện cùng Bên A giám sát, nghiệm thu và kiểm tra chất lượng, quy

cách gỗ trong quá trình giao nhận hàng tại kho gỗ ở Lào.

- Nghiệm thu hai bên thống nhất kiểm tra từng tấm để tính khối lượng hoặc cân xe .

ĐIỀU III : ĐIỀU KHOẢN THANH TOÁN

- Sau khi xem hàng xong, trong vòng 3 ngày bên mua phát hành chứng thư bảo lãnh

thanh toán (L/C) không hủy ngang cho đợt giao hàng đầu tiên tương đương 500m3 –

1000 m3 Sau khi bên bán nhận được chứng thư phát hành thanh toán của bên mua.Các

lần bảo lãnh sau cũng tương tự như lần bảo lãnh trước, trong vòng 05 ngày kể từ ngày

bên mua nhận được Bil tàu của lần giao hàng trước.Trong trường hợp sau 05 ngày kể

từ ngày bên mua đi xem hàng mà bên Mua không phát hành chứng thư bảo lãnh thanh

toán (L/C) không hủy ngang cho đợt giao hàng đầu tiên tương đương 500m3 – 1000

m3 thì bên Mua phải bồi thường thiệt hại cho bên bán số tiền 100,000 USD ( các chi

phí phát sinh cho bên Bán ) .

- Sau khi hai Bên Bán và Mua thống nhất được về số lượng và chất lượng căn cứ theo

biên bản nghiệm thu bàn giao kèm theo. Bên bán giao bộ hồ sơ nguồn gốc gỗ của

từng đợt xuất .Khi Bên Bán hoàn tất thủ tục tái xuất đi nước thứ 3 cho Bên Mua

hoặc xuất đi trực tiếp qua bến thư 3 do bên mua chỉ định . Bên Mua thanh toán ngay

100% trị giá lô hàng giao nhân thực tế theo từng đợt ,việc thanh toán không được

chậm trễ quá 24 h .Trong trường hợp bên bán đáp ứng đủ các bộ chứng từ thanh

toán quy định của hợp đồng này mà bên mua chưa thanh toán cho bên bán . Bên bán

có quyền yêu cầu ngân hàng phát hành LC của bên Mua thanh toán ngay cho bên

Bán mà không cần sự xác nhận của bên Mua . Bên Bán phải bàn giao các giấy tờ

còn lại ngay cho Bên Mua (như Bill, C/O, giấy hun trùng, giấy kiểm dịch, tờ khai

hải quan). Trong trường hợp khách quan việc thanh toán và bàn giao giấy tờ được

phép chậm lại nhưng không quá 48 giờ.

Bộ Chứng Từ Thanh Toán Gồm:

- Invoice 03 bản gốc

- Packing list 03 bản gốc

- Giấy hun trùng 01 bản gốc 03 bản copy

- Kiểm dịch 01 bản gốc 03 bản copy

- Bil tàu 01 bản gốc 03 bản copy

- Giấy chứng nhận CITES 01 bản gốc

- Giấy chứng nhận C/O 01 bản gốc

1. Đồng tiền thanh toán: Hai Bên cùng thống nhất dùng đồng đô la Mỹ được quy đổi

bán ra tại Ngân hàng Eximbank Việt nam thành VNĐ tại thời điểm để thực hiện giao dịch

ĐIỀU IV : TIẾN ĐỘ GIAO HÀNG

- Hai bên thống nhất hàng được giao làm từng phần. mỗi lần giao nhận cách nhau từ 15 ~

25 ngày, cho đến khi thực hiện hết hợp đồng.

• Số lượng được giao trong mỗi đợt : 500m3

• Mỗi lần giao kế tiếp cách nhau 20 ngày.

• Thời gian giao hàng cụ thể sẽ được thông báo trong Phụ lục hợp đồng.

ĐIỀU V: QUYỀN VÀ NGHĨA VỤ CỦA HAI BÊN

- Được yêu cầu thanh toán đúng thời hạn qui định của hợp đồng.

- Các quyền khác theo qui định của pháp luật Việt Nam.

- Có trách nhiệm cử người đại diện thông báo và cùng với Bên B giám sát việc nghiệm

thu hàng hóa tại địa điểm lên hàng, giao nhận hàng hóa và xác nhận biên bản giao hàng

với khối lượng, chất lượng thực tế tại địa điểm giao nhận hàng.

- Giao đúng số lượng, Chất lượng, Qui cách và thời gian cho Bên Mua theo hợp đồng.

- Cung cấp đầy đủ giấy tờ, thủ tục liên quan đến hàng cho Bên Mua.

- Đảm bảo nguồn gốc, xuất xứ gỗ bán cho Bên Mua.

- Chịu trách nhiệm liên hệ hảng tàu để kéo Congtainer đống hàng căn cứ theo kế hoạch

- Phải bồi thường theo điều III(3.A),điều VIII của hợp đồng này.

Quyền và nghĩa vụ của Bên B:

- Được yêu cầu giao hàng đúng thời hạn, số lượng, quy cách ghi trong Hợp Đồng này và

theo đúng từng thời điểm giao nhận hàng.

- Các quyền khác theo qui định của pháp luật Việt Nam.

- Thanh toán đúng thời hạn qui định của hợp đồng này.

- Cử cán bộ có đủ thẩm quyền nhận hàng đúng với thời gian Bên Bán thông báo.

- Trường hợp Bên Mua không nhận hàng hoặc nhận hàng chậm phải bồi thường thiệt hại

theo qui định tại điều III(3.A),điều VIII của hợp đồng này.

- Thông báo trước cho Bên A địa điểm cảng đến.

- Giá không thay đổi trong quá trình giao dịch đến hết lô hàng 3,500 m3

- Trường hợp Bên B thực hiện đúng như Điều III.3.A, giá cả được giữ nguyên và thực

hiện cho đến khi xong hợp đồng.

ĐIỀU VII : TRANH CHẤP , TỐ TỤNG , KHIẾU NẠI

- Trương hợp có tranh chấp , tố tụng , khiếu nại giữa các bên thì phải thương lượng , bàn

bạc trên tinh thần hợp tác và tôn trọng quyền lợi chính đáng của nhau. Nếu không giải

quyết được thì vụ việc sẽ đưa ra cấp tòa án kinh tế có thẩm quyền nhờ phân xử theo luật

định . Phí tòa án do bên thua kiện chi trả .

- Mọi trườn hợp tố tụng, khiếu nại đều phải thông báo cho nhau bằng văn bản chính thức.

ĐIỀU VIII: TẠM DỪNG HOẶC HỦY BỎ HỢP ĐỒNG

- Do lỗi của Bên Mua hoặc Bán gây ra.

- Do nằm trong các trường hợp bất khả kháng.

- Nếu phải tạm ngưng hợp đồng do lỗi của một Bên gây ra, thì bên tạm ngưng phải gửi

thông báo cho Bên kia biết trong vòng 03 ngày và nêu lý do cụ thể, đồng thời cùng bàn

bạc giải quyết trên tinh thần hợp tác bình đẳng Hai Bên cùng có lợi. Trường hợp Bên tạm

ngưng không thông báo mà dừng ngay công việc gây thiệt hại cho đối tác thì phải bồi

thường thỏa đáng thiệt hại cho Bên bị thiệt hại (có các chứng từ hợp lệ chứng minh).

- Thời gian tạm dừng hợp đồng tối thiểu là 10 ngày, tối đa là 25 ngày để Bên có lỗi khắc

phục sự cố. Thời gian và mức đền bù thiệt hại sẽ do Hai Bên tự thỏa thuận bằng văn bản.

- Bên Mua có quyền hủy bỏ thực hiện hợp đồng nếu bên bán giao hàng không đúng

chất lượng, không hợp pháp hoặc thời gian giao hàng chậm quá 05 ngày làm việc so với

quy định tại điều II khoản 3 của hợp đồng này. Bên Bán có quyền hủy bỏ thực hiện hợp

đồng nếu Bên Mua thanh toán chậm 03 ngày so với quy định tại điều III khoản 3 mục B

của hợp đồng này. Bên vi phạm hợp đồng phải bồi thường mọi thiệt hại có liên quan.

- Bên huỷ bỏ hợp đồng phải thông báo ngay cho bên kia biết về việc huỷ bỏ; nếu không

thông báo mà gây thiệt hại cho Bên kia, thì Bên huỷ bỏ hợp đồng phải bồi thường;

- Khi hợp đồng bị huỷ bỏ, thì hợp đồng không có hiệu lực từ thời điểm bị huỷ bỏ và các

Bên phải hoàn trả cho nhau tài sản hoặc các khoản thanh toán (nếu có).

3. Kéo dài thời gian thực hiện Hợp đồng:

- Hai Bên tiếp tục giao kết hợp đồng mới hoặc bổ sung bằng phụ lục hợp đồng.

- Do thoả thuận kéo dài thời gian thực hiện hợp đồng của Hai Bên.

- Do xảy ra các trường hợp bất khả kháng trong thời gian thực hiện Hợp đồng.

ĐIỀU XI: PHẠT DO VI PHẠM HỢP ĐỒNG:

- Nếu Bên Bán không giao hàng theo như tiến độ yêu cầu của bên Mua thì Bên Bán bị

- Phạt 0.25% giá trị hàng hóa giao chậm/03 ngày đầu tiên;

- Phạt 0.1% giá trị hàng hóa giao chậm/01 ngày kế tiếp;

- Tổng số tiền phạt không vượt quá 8% (Bằng chữ: Tám phần trăm) trị giá hợp đồng

- Nếu Bên Mua không nhận hàng theo như tiến độ yêu cầ
