1. With respect to the Minutes of Member Council’s meeting of SCPC
We note that there were two members participating in the meeting, being Mr. Pham Cong Nghia and Mr. Truong Van Hien. Can you please provide us with a confirmation from SCPC that the Members Council of SCPS comprises two members only and such quorum is sufficient for a valid meeting of SCPC’s Members Council in accordance with the charter of SCPC?
In addition, there are certain wording of the Minutes are opaque and may be challenged by the HCMC DPI. For example, SCPC approved for “the extension of the joint venture contract entered into with Hakuhodo Japan”; however, there is no reference to the date of the aforesaid joint venture contract, the name of the joint venture company (being HSAC) and Hakuhodo Inc. (which is the correct name of the foreign party in the joint venture company). Can you please request SCPC to fix the above issues?
2. With respect to the Resolution of SCPC’s Members Council,
We would like to note that this Resolution do not refer to an approval for the new charter of HSAC (regardless this charter has been approved as recorded in Item II(2) of the Minutes). Can you please request SCPC to revise the Resolution in order to be consistent with the Minutes and for the purpose of the registration of the new charter of HSAC?
In addition, the wording of the Resolution has the same problem as referred to in the second paragraph of item 1 above. Can you please request SCPC to fix these issues?
