 Điều kiện thành lập cơ sở bán lẻ:
- Đối với cơ sở bán lẻ thứ nhất: Doanh nghiệp có vốn đầu tư nước ngoài đã có quyền phân phối được lập cơ sở bán lẻ thứ nhất mà không phải làm thủ tục đề nghị cấp Giấy phép lập cơ sở bán lẻ theo quy định tại khoản 4 Điều 5 Nghị định 23/2007/NĐ-CP. Theo đó, nhà đầu tư nước ngoài sẽ lập hồ sơ xin cấp Giấy chứng nhậnđăng ký đầu tư, trong đó ghi rõ ngành nghề nhập khẩu phân phối và nộp lên cơ quan có thẩm quyền cấp Giấy chứng nhậnđăng kýđầu tư. Cơ quan có thẩm quyền cấp Giấy chứng nhậnđăng kýđầu tư sẽ xin ý kiến Bộ công thương. Sau khi được cấp Giấy chứng nhậnđăng kýđầu tư thì có nghĩa là nhàđầu tưđã có quyền thành lập 1 cơ sở bán lẻ duy nhất. Nếu muốn mở thêm các cơ sở bán lẻ khác, thì phải tiến hành thêm các thủ tụcở dướiđây.
- Đối với cơ sở bán lẻ ngoài cơ sở bán lẻ thứ nhất: Việc lập thêm cơ sở bán lẻ ngoài cơ sở bán lẻ thứ nhất do UBND cấp tỉnh quyết định theo hướng dẫn của Bộ Công Thương và theo trình tự, thủ tục quy định tại khoản 4 Điều 5 Nghị định 23/2007/NĐ-CP. Việc lập cơ sở bán lẻ ngoài cơ sở bán lẻ thứ nhất được xem xét từng trường hợp cụ thể căn cứ vào việc kiểm tra nhu cầu kinh tế của địa bàn nơi đặt cơ sở bán lẻ theo các tiêu chí: số lượng các cơ sở bán lẻ, sự ổn định của thị trường, mật độ dân cư và quy mô của địa bàn cấp quận, huyện nơi dự kiến đặt cơ sở bán lẻ. Quy định này không áp dụng trong trường hợp lập cơ sở bán lẻ có diện tích dưới 500m2 tại khu vực đã được tỉnh, thành phố trực thuộc trung ương quy định cho hoạt động mua bán hàng hóa và đã hoàn thành xây dựng cơ sở hạ tầng trừ trường hợp có thay đổi quy hoạch và điều kiện này không còn tồn tại
