The seller and the buyer agreed to sign this contract with terms and conditions as below:

§ 1. SUBJECT OF THE CONTRACT

The Sellers undertake to sell and the Buyers undertake to buy on terms and condition CIF COLOMBO PORT, SRILANKA ( Incoterms 2010) with the specifications as follow:

1X 40’RF CONTAINER of Sail Fish each hereinafter referred to as the GOODS accordance with Certificate of Quality and conditions stipulated in the present Contract.


§ 2. QUALITY, QUANTITY, PRICE OF THE GOODS AND CLAIMS

The quality,quantity, price of the Goods sold and bought under the present contract as follows:

§ 4. TIME OF LOADING

Loading of the Goods sold under the present Contract to be effected as follow:
Time of loading will be made latest: Within SEP 2015
The date of B/L is considered as the date of loading.
Partial shipment: allowed.
Transhipment: allowed.



§ 5. ORDER OF LOADING

Seller is obliged to guarantee the dispatch of the goods together with:

1. Certification of Origin: 1 original and 1 copy

2. Bill of Lading: 3 original and 2 copies

3. Comercial Invoice : 1 original and 3 copies;

4. Packing List: 1 original and 3 copies;

5. Health Certificate: 1 original and 1 copy

6. Micro Biology Test Report : 1 original and 1 copy

§ 6. PRICES AND TERMS OF PAYMENTS

The prices for the goods are fixed in and are understood to be 47,000.00 CIF COLOMBO, SRI LANKA.
The total value of the present Contract is USD47,000.00 ( US Dollars Forty Seven thousand only).

Payment term: 30% deposit and 70% by irrevocable L/C at sight.

§ 7. ARBITRATION

Any disputes or difference that may arise out of the present Contract or in connection with the same will be settled in an amicable way.
Should the parties to the contract fail to come to agreement, the Arbitration will take place at International Commercial Arbitration court at the Chamber of Commerce and Industry in Vietnam (Viet Nam). The award of this Arbitration Court will be final and binding upon both parties.

§ 8. FORCE – MAIEURE

The Parties are not liable for failure to perform their obligations under the contract, if such failure was caused force-majeure circumstances time of performance of the contract obligations is extended for a period equal the period of duration of such circumstances. The Buyer has the right to refuse performing the contract or the part of it if the delay of delivery caused by force-majeure circumstances exceeds more than six months.
Parties are to inform immediately the other party about the starting and stopping of force-major circumstances, otherwise it loses its right to refer to such circumstances.
If any of such circumstances directly affected the performance of obligations in the time of period stipulated in the Contract, this lime period is extended correspondingly for a period during which such circumstances are operative.
Certificate of local Chamber of Commerce and Industry as sufficient proof of above circumstances to be presented.

§ 9. VALIDITY


This contract comes into force from the moment of signing it by the both parties and valid till
complete fulfillment of the obligations by the parties.
The Seller have no right to transfer to a third party their rights and obligations under the present contract without a written consent of the Buyer.


§ 10. AMENDMENTS

No amendments, charges, revisions or discharges of this contract, in whole part, shall have any force or effect unless set forth in writing and signed by the two parties hereto.
