Hai bên thống nhất ký kết hợp đồng đại lý với các điều khoản sau:

Điều 1: Hình thức đại lý:
- Đại lý bao tiêu: Trên lãnh thổ Việt Nam, Bên A giao cho Bên B việc thực hiện mua bán trọn vẹn cho bên A các sản phẩm sắt thép xây dựng và các sản phẩm khác (như phụ lục đính kèm hợp đồng đại lý này).

Điều 2: Quyền sở hữu trong đại lý:
- Bên A là chủ sở hữu đối với hàng hoá giao cho Bên B

Điều 3: Thù lao đại lý
- Thù lao đại lý được Bên A trả cho Bên B dưới hình thức hoa hồng, cụ thể như sau:
1. Các sản phẩm sắt thép xây dựng phí hoa hồng đại lý được Bên A trả cho Bên B là 4% tổng trị giá của mỗi phụ lục hợp đồng (chi tiết mỗi phụ lục hợp đồng luôn được đính kèm theo hợp đồng đại lý này)
2. Các sản phẩm khác phí hoa hồng đại lý được Bên A trả cho Bên B là 4% tổng trị giá của mỗi phụ lục hợp đồng (chi tiết mỗi phụ lục hợp đồng luôn được đính kèm theo hợp đồng đại lý này)

Điều 4: Quyền và nghĩa vụ của Bên A:
4.1 Quyền của Bên A:
- Ấn định giá mua, giá bán hàng hoá, giá cung ứng dịch vụ đại lý cho khách hàng.
- Ấn định giá giao đại lý.
- Yêu cầu Bên B thực hiện biện pháp bảo đảm theo quy định của pháp luật.
- Yêu cầu Bên B thanh toán tiền theo hợp đồng đại lý.
- Kiểm tra, giám sát việc thực hiện hợp đồng của Bên B.
4.2 Nghĩa vụ của Bên A:
- Hướng dẫn, cung cấp thông tin, tạo điều kiện cho Bên B thực hiện hợp đồng đại lý.
- Chịu trách nhiệm về chất lượng hàng hoá của đại lý mua, bán hàng hoá.
- Trả thù lao và các chi phí hợp lý khác cho Bên B.
- Liên đới chịu trách nhiệm về hành vi vi phạm của Bên B, nếu nguyên nhân của hành vi vi phạm pháp luật đó có một phần do lỗi của Bên A gây ra
- Không ký kết hợp đồng mua bán sản phẩm tương tự sản phẩm giao cho Bên B với các nhà phân phối khác trên phạm vi lãnh thổ Việt Nam

Điều 5: Quyền và nghĩa vụ của Bên B:
5.1 Quyền của Bên B:
- Giao kết hợp đồng đại lý với một hoặc nhiều bên giao đại lý.
- Yêu cầu Bên A giao hàng theo hợp đồng đại lý.
- Yêu cầu Bên A hướng dẫn, cung cấp thông tin và các điều kiện khác có liên quan để thực hiện hợp đồng đại lý.
- Hưởng thù lao, các quyền và lợi ích hợp pháp khác do hoạt động đại lý mang lại.

5.2 Nghĩa vụ của Bên B:
- Mua, bán hàng hoá cho khách hàng theo giá hàng hoá do Bên A ấn định.
- Thực hiện đúng các thỏa thuận về giao nhận tiền, hàng với Bên A.
- Thực hiện các biện pháp bảo đảm thực hiện nghĩa vụ dân sự theo quy định của pháp luật.
- Tự trang bị cơ sở vật chất, địa điểm kinh doanh, kho bãi.
- Chịu trách nhiệm tất cả hàng hóa mà Bên A đã giao trong việc tồn trữ, trưng bày, vận chuyển và bảo quản. Bên B bảo đảm thực hiện đúng các biện pháp tồn trữ, giữ được phẩm chất hàng hóa như Bên A đã cung cấp, đến khi giao cho người tiêu thụ.

- Liên đới chịu trách nhiệm về chất lượng hàng hoá trong trường hợp do lỗi của mình gây ra.
- Trong trường hợp Bên B chào hàng và bán được giá hàng hoá cao hơn giá Bên A ấn định, thì Bên B phải có trách nhiệm thông báo cho Bên A toàn bộ giá trị cao hơn đó và có nghĩa vụ thanh toán toàn bộ giá trị cao hơn đó cho Bên A. Nếu giá trị hàng hoá không đạt được theo Bên A ấn định thì Bên B phải thông báo và giá hàng hoá sẽ giảm theo thoả thuận.
- Chịu sự kiểm tra, giám sát của Bên A và báo cáo tình hình hoạt động đại lý cho Bên A.
- Không ký kết hợp đồng mua bán sản phẩm tương tự sản phẩm Bên A giao cho Bên B với các nhà cung cấp khác.
- Thanh toán cho Bên A tiền bán hàng.

Điều 6: Phương thức giao nhận
- Bên A giao hàng đến cửa kho của Bên B hoặc tại địa điểm thuận tiện do Bên B chỉ định.
- Chi phí xếp dỡ từ xe vào kho của Bên B do Bên B chi trả (kể cả chi phí lưu xe do xếp dỡ chậm).

Điều 7: Thanh toán trong đại lý
- Việc thanh toán tiền hàng và thù lao đại lý được thực hiện theo từng đợt và trong vòng 60 ngày kể từ ngày Bên A giao hàng tới kho của Bên B.
- Nếu việc chậm trả kéo dài hơn 60 ngày thì bên B phải chịu thêm lãi suất quá hạn của ngân hàng cho số tiền chậm trả.

- Toàn bộ giá trị tiền hàng do Bên B bán ra, sau khi đã trừ phí hoa hồng của Bên B, được thanh toán cho Bên A vào tài khoản như sau:

Điều 8: Thời hạn đại lý
- Thời hạn đại lý là 05 năm kể từ thời điểm Hai bên ký hợp đồng đại lý này.
- Trong thời hạn trên nếu một trong hai bên không mong muốn tiếp tục hợp đồng phải báo cho Bên còn lại trước 60 ngày, kể từ ngày một trong hai Bên thông báo bắng văn bản cho Bên kia về việc chấm dứt hợp đồng đại lý.

Điều 9: Thưởng phạt
- Trong trường hợp nếu Bên A thông báo chấm dứt hợp đồng trước thời hạn thì Bên B có quyền yêu cầu Bên A bồi thường một khoản tiền cho thời gian mà mình đã làm đại lý cho Bên A đó, giá trị của khoản bổi thường sẽ được Bên B thỏa thuận với Bên A căn cứ vào thiệt hại của Bên B.
- Trường hợp hợp đồng đại lý mà Bên B chấm dứt trước thời hạn thì Bên A có quyền yêu cầu Bên B bồi thường một khoản tiền cho thời gian mà Bên A giao cho Bên B làm đại lý, giá trị của khoản bổi thường sẽ được Bên A thỏa thuận với Bên B căn cứ vào thiệt hại của Bên A.

Điều 10: Các điều khoản khác
- Mọi sự sửa đổi, bổ sung hợp đồng đều phải được ghi nhận bằng văn bản và được cả hai bên cùng nhất trí thông qua. Mọi vấn đề nẩy sinh trong quá trình thực hiện hợp đồng sẽ được hai bên cùng cố gắng bàn bạc giải quyết bằng thương lượng. Nếu những vấn đề phát sinh không thể thoả thuận được giữa hai bên thì sẽ đưa ra giải quyết tại Toà kinh tế có thẩm quyền, phán quyết của Toà án là bắt buộc đối với cả hai bên. Toàn bộ chi phí trong quá trình xét xử sẽ do bên thua chịu.
- Hợp đồng có hiệu lực kể từ ngày ký, được làm thành 04 bản có giá trị pháp lý như nhau, Bên A giữ 02 bản, Bên B giữ 02 bản.
